Fusione Maersk/Sea-Land: l'era dei giganti

"Questo settore deve darsi una regolata: ci sono troppi vettori… Bisogna che qualcuno lo prenda per la collottola: questo accordo è il modo giusto di affrontare la cosa. Esso anticipa lo scenario del futuro". Così si è espresso un dirigente anziano di una delle principali linee di navigazioni globali, nel contesto di un'intervista - per la quale ha chiesto di restare anonimo - rilasciata a Containerisation International in ordine alla recente acquisizione da parte della A.P. Møller-Maersk Line delle operazioni internazionali della Sea-Land.

Il dirigente capo di un vettore ancora più importante ha commentato che l'accordo "ha esternato un forte segnale nel senso che il consolidamento è più probabile che si verifichi" poiché - come ha fatto notare - "il prezzo di acquisto è stato in questo caso più realistico". Nel contempo, un importante consulente del settore, John Reeve della Reeve & Associates, ha sottolineato le irresistibili forze che stanno inducendo il consolidamento nell'ambito del settore.

Allo stesso modo, Peter Gatti, direttore delle politiche industriali presso il NITL (Lega Nazionale Trasporto Industriale), un'associazione che rappresenta i principali caricatori statunitensi, ha commentato: "L'acquisizione in questione non è un fatto unico. Essa fa parte del consolidamento che sta avvenendo nell'ambito del settore dei trasporti nel suo complesso. Ciò cui stiamo assistendo non è una rivoluzione, bensì la continuazione del processo che si sta svolgendo già da tempo". Gatti aggiunge che la situazione sarebbe seguita attentamente dai membri della NITL.

Annunciata il 22 luglio scorso, la transazione assicura alla A.P. Møller-Maersk Line con sede a Copenaghen l'acquisto per 800 milioni di dollari dell'attività di linea internazionale della Sea-Land Services dalla CSX Corp. Si tratta di 300 milioni di dollari in meno rispetto al valore nominale dell'intera Sea-Land. L'accordo comprende le navi, i containers, determinati terminals ed alcune obbligazioni di noleggio su navi, per un ammontare supposto in 600 milioni di dollari. I servizi marittimi interni del vettore statunitense Sea-Land, come certe infrastrutture terminalistiche, non rientrano nell'accordo e restano di proprietà della CSX. Ci si aspetta che per il completamento dell'acquisizione, che è in attesa di approvazione da parte delle autorità competenti, ci vogliano quattro mesi circa a partire dalla data dell'annuncio.

La notizia non ha preso di sorpresa il settore. La CSX non aveva fatto mistero della propria delusione in relazione alla crescente imprevedibilità del settore marittimo di linea internazionale, dei propri fallimentari margini operativi e delle conseguenze che questo aveva avuto sulla capacità della CSX di dividere utili tra i propri azionisti. Pertanto, quando all'inizio di quest'anno la Sea-Land era stata suddivisa in tre divisioni operative, gli esperti avevano detto che si trattava solamente di una questione di tempo prima che una o più sue parti venissero vendute.

Anche il fatto che la A.P. Møller-Maersk Line fosse quella che avrebbe finito per vincere la gara all'acquisto era stato ampiamente previsto, sebbene si dicesse che anche altre società fossero in lizza. La Maersk e la Sea-Land si erano impegnate in un'associazione collaborativa in graduale espansione sin da quando nel 1991 erano entrate a far parte di un accordo relativo alle quote delle navi, annunciando poi un'alleanza operativa nel 1995.

Inoltre, l'accordo può essere considerato come parte del processo di consolidamento del settore che è in corso da qualche tempo. Come ha spiegato Reeve, le forze che in questo caso sono all'opera sono: la fiera concorrenza ed i bassi margini; la commercializzazione dei servizi marittimi, che perciò rendono imperativi i bassi costi; le potenziali economie di scala ed il raggio d'azione; lo sviluppo delle reti di servizio globale; le strategie di reperimento dei soci logistici degli operatori marittimi; infine, la deregolamentazione e privatizzazione del settore.

La rivista Containerisation International calcola che vi siano state almeno 42 fusioni e/o acquisizioni nell'ambito delle attività marittime di linea nel corso degli ultimi quattro anni e mezzo. Qualcuna è stata di modesto livello. Altre, tuttavia, come la riuscita costituzione della P&ON (P&O Nedlloyd) mediante la fusione della P&O Containers e della Nedlloyd Lines, la ardimentosa acquisizione della APL (American President Lines) da parte della NOL, la quota rilevata dalla Hanjin nella DSR-Senator, nonché la riuscita ed accorta acquisizione da parte della CP Ships di una serie di operatori per lo più di nicchia ed una simile strategia da parte della Hamburg Sud, hanno consolidato la capacità nelle mani di poche e persino più grandi compagnie di navigazione.

L'acquisizione da parte della A.P. Møller-Maersk Line delle operazioni internazionali della Sea-Land riveste, tuttavia, un diverso grado di importanza. Essa combina la prima e la sesta compagnia a livello mondiale, generando un gigante che dispone di un tremendo potere di mercato. Come tale, ci si aspetta che essa acceleri il processo di consolidamento del settore. "E' la candela che provocherà l'accensione… è il gruppo più grande ed il migliore" prevede Theodore Prince, vice presidente anziano delle vendite e del marketing della Kleinschmidt Inc.

Come mostra la Tabella 1, la flotta combinata Maersk-SeaLand più Safmarine (la Maersk ha acquistato la Safmarine Container Lines all'inizio di quest'anno) totalizzerà 511.940 TEU. Si tratta di quasi 200.000 TEU in più rispetto a quelli del suo rivale più prossimo, la Evergreen con le sue associate Uniglory Marine Corp e Lloyd Triestino, e di più del doppio rispetto a quelli della P&ON. La Maersk-SeaLand e la Safmarine controlleranno insieme il 10,9% della flotta di portacontainers di tutto il mondo. In termini di navi sotto ordinazione, la loro quota è persino maggiore, essendo attestata al 19,4% (v. Tabella 1).

Ma questa è solo una parte della vicenda. La Maersk-SeaLand, nome con il quale il nuovo operatore sarà conosciuto una volta completata la transazione alla fine di quest'anno, disporrà di una flotta di più di 250 navi e di oltre 500.000 containers, nonché di 75.000 telai. Essa effettuerà operazioni in 24 terminal containers di tutto il mondo e farà 20.000 scali annui in circa 100 paesi. Essa sarà uno dei più grossi clienti intermodali delle ferrovie nordamericane, con 850.000 carichi almeno all'anno.

La Maersk-SeaLand disporrà di circa 35 servizi singoli che coprono tutte le principali rotte, tra cui la transpacifica, la transatlantica, l'Asia/Europa e gran parte dei traffici nord/sud e regionali. Essa costituirà il più grande operatore individuale in molti mercati, compresi i tre traffici-chiave est-ovest. In effetti, come mostra la Tabella 2, in alcuni traffici Asia/USA ed Europa/USA, essa avrà una notevole quota di mercato, partendo dal presupposto - naturalmente - che essa sia capace di trattenere gli attuali clienti sia della Maersk che della Sea-Land. Si è saputo che in ordine al traffico Europa/Asia la quota di mercato combinata dei due vettori è attestata al 15,6% circa in direzione est ed a un livello leggermente più alto in direzione ovest.

Quale compagnia di navigazione unica, la Maersk-SeaLand avrà il potenziale per generare ricavi annui pari a ben oltre 8,3 milioni di dollari. Si tratta di una stima fondata sull'analisi dei ricavi nel 1998 delle rispettive compagnie effettuata da Reeve (v. Tabella 3), il quale precisa che le proprie cifre relative alla Maersk sono una semplice stima, dato che il vettore danese non fornisce particolari in ordine ai propri ricavi derivanti dal trasporto marittimo di linea.

Sebbene la Maersk-SeaLand sia destinata a divenire un mega-vettore in tutti i sensi della parola, alcuni importanti dirigenti impegnati nel settore le cui opinioni sono state richieste da Containerisation International ritengono che strategicamente si tratti di una buona notizia per il settore. "Si ridurrà la concorrenza" sostiene uno. Un altro, invece, ha sottolineato la "crescita mediante consolidamento" e l'aspettativa che ciò possa aiutare "i prezzi a stabilizzarsi". Almeno in apparenza, il messaggio complessivo è sembrato essere quello che l'acquisizione era attesa e che è stata, come al solito, un vero affare.

Per il momento, i clienti o i potenziali clienti di entrambe o di una delle due linee di navigazione sembrano essere alquanto tranquilli in ordine alla prospettiva dell'emersione di un vettore così grande. Ad esempio, Timothy J. Gartner, direttore dei trasporti ed affari correlati della Evenflo di Piqua, nell'Ohio, ha dichiarato: "Noi non ci sentiamo minacciati dall'acquisizione. Si tratta del naturale sottoprodotto del fatto che le tariffe sono calate in modo così drastico nel Pacifico".

Nel contempo, una multinazionale con sede negli Stati Uniti che effettua spedizioni con entrambi i vettori in diversi traffici, ma che non desidera essere nominata, suggerisce: "Partendo dal presupposto che il livello di attività che abbiamo portato avanti con tutti e due i vettori non cambi, un vantaggio per noi sarà quello di dover dialogare con un vettore invece che con due. Per noi, si tratta di gestire relazioni con un vettore in meno". Un altro importante caricatore internazionale con sede negli U.S.A. che ha richiesto l'anonimato ha fatto notare: "Si tratta di due buone compagnie che si sono integrate. Sono anni che lavorano assieme. La speranza è che ne risulti un terzo vettore ancora migliore".

In Europa, il dirigente responsabile delle spedizioni globali di una grossa impresa chimica (anch'essa ha chiesto di non essere nominata) accoglie favorevolmente "la razionalizzazione tra vettori se essa migliora il servizio ed assicura sicurezza e qualità". Egli ha inoltre sottolineato che vi sono ancora molte possibilità di scelta nel mercato.

D'altro canto, non proprio tutti sono così contenti. David S. Movsky, dirigente per le attività a livello mondiale del settore marittimo della Eastman Kodak di Rochester (New York), ha dichiarato: "Talvolta mi preoccupo quando, in conseguenza di acquisizioni, fusioni o persino alleanze, vi sono meno opzioni di servizio nell'ambito di certe direttrici di traffico e tra certe coppie di porti… Noi abbiamo bisogno di una varietà di partenze perché dobbiamo spedire rispetto a tutta una gamma di giorni".

Il dirigente trasporti di un cliente europeo sia della Maersk che della Sea-Land, il quale (anche lui) ha chiesto di non essere nominato, ha detto a Containerisation International: "Stiamo osservando la nascita di un mega-mega-vettore… potrebbe essere pericoloso, possono davvero dettar legge al mercato". Egli alludeva ad un caso del passato, in cui la Maersk aveva fatto ingresso in un traffico ed aveva abbassato i propri prezzi al fine di acquisire lavoro, solamente per poi aumentarli dopo che due vettori erano fuoriusciti dal mercato".

Allo stesso modo, un dirigente superiore di uno dei primi 20 vettori mondiali sostiene: "Il quadro che ne risulta corrisponde alla concentrazione di un enorme potere - anche decisionale - in capo ad una compagnia". Continua lo stesso dirigente: "Ad esempio, stando ai soli terminals, tutti i tipi di venditori dovranno chiedere che cosa vuole la Maersk, prima di chiedere qualcosa di diverso da ciò che quelli pensano". Egli ha suggerito che sarebbe interessante vedere come si comporteranno i vari organi legislativi che dovranno esaminare l'acquisizione.

Le decisioni in merito, di competenza sia statunitense che internazionale, dovranno essere prese prima della definizione della transazione. Tra gli organi coinvolti vi sono la Commissione sugli Investimenti Esteri negli Stati Uniti, la MarAd (Amministrazione Marittima) statunitense, le autorità anti-trust negli U.S.A., la Commissione Europea (DGIV) ed altre giurisdizioni. Sia la CSX che la A.P. Møller-Maersk Line hanno dichiarato di aspettarsi che la transazione rispetti le normative anti-trust.

Partendo dal presupposto che le loro aspettative vengano esaudite e che la dovuta diligenza sia pienamente rispettata, la Maersk-SeaLand comincerà ad esistere nell'ultimo trimestre di quest'anno, allorquando le procedure di integrazione vera e propria potranno cominciare sul serio. Ib Krause, socio della A.P. Møller, ha già dichiarato che "le operazioni e l'amministrazione saranno pienamente integrate raccogliendo il meglio da entrambe le organizzazioni". Egli ha poi ammesso che vi saranno degli esuberi. Le fonti industriali si aspettano che il processo richieda almeno un anno, se non di più, sebbene - come hanno sottolineato - entrambe le compagnie sia già ben consapevoli di come l'altra operi. Tuttavia, come fa notare un dirigente anziano di un concorrente, "il processo costerà un sacco di soldi, dato che tutte e due hanno molti uffici in tutto il mondo".

La Maersk-SeaLand avrà il proprio quartier generale globale a Copenaghen, dove la A.P. Møller-Maersk Line ha già la propria sede, mentre la sede centrale statunitense sarà a Madison (New Jersey), che costituiva già la sede della Maersk Inc negli U.S.A. Essa manterrà altresì una presenza presso l'attuale quartier generale della Sea-Land a Charlotte, in North Carolina. John P. Clancey, presidente e dirigente superiore della Sea-Land, diventerà presidente della Maersk Inc, mentre Tommy Thomsen, attuale presidente della Maersk Inc, diventerà presidente della Maersk-SeaLand. Clancey si unirà ai soci della A.P. Møller, Kruse e Knud Stubkjaer, nel consiglio esecutivo per il trasporto marittimo containerizzato della Maersk-SeaLand, il quale supervisiona le attività globali.

Dal punto di vista operativo, nel contesto della loro già esistente alleanza, la Maersk e la Sea-Land avevano razionalizzato il naviglio e - in misura molto minore - le loro flotte containerizzate ed operazioni terminalistiche. In Europa esse sono socie, unitamente alla P&ON, di una società ferroviaria congiunta, la ERS (European Rail Shuttle). Nell'ambito dell'accordo, la A.P. Møller-Maersk acquisterà 18 terminals gestiti dalla Sea-Land (tra cui tutti quelli del continente statunitense), alcuni dei quali sono situati in porti dove la Maersk già dispone di terminals propri, di modo che in alcune località si verificheranno esigenze di razionalizzazione.

I 24 terminals che saranno condotti dalla Maersk-SeaLand sono i seguenti: negli U.S.A., Port Elizabeth, Boston, Norfolk, Charleston, Jacksonville, Port Everglades, New Orleans, Houston, Long Beach, Oakland, Tacoma, Baltimora e Miami; in Europa, Bremerhaven (in Germania), Rotterdam (nei Paesi Bassi) ed Algesiras (in Spagna); nel Medio Oriente, Salalah (nell'Oman); in Asia, infine, Yokohama e Kobe (in Giappone), Kaohsiung (a Taiwan), dove vi saranno due terminals distinti, Laem Chabang (in Tailandia), Yantian (quota del 10%) e Dalian (quota del 5%), entrambi in Cina.

La Maersk-SeaLand punterà inoltre a conservare il finanziamento da 31,5 milioni di dollari all'anno che la Sea-Land riceveva nel contesto dello MSP (Programma Sicurezza Marittima) statunitense. Esso versa ai vettori 2,1 milioni di dollari all'anno per ciascuna nave che naviga sotto bandiera statunitense. La Sea-Land nello MSP impiega 15 navi. Una volta portata a termine la transazione, la Maersk-SeaLand utilizzerà 19 navi battenti bandiera statunitense in origine gestite dalla Sea-Land e 4 prima gestite dalla Maersk.

L'accordo prevede che le operazioni relative alle 19 navi della Sea-Land vengano effettuate ai sensi della Sezione 2 da una compagnia autonoma di nuova costituzione, di nazionalità statunitense, così come statunitensi saranno la proprietà, la gestione ed il controllo. La Sea-Land richiederà alla MarAd di trasferire gli accordi operativi MSP inerenti a 15 di queste navi alla nuova società Sezione 2. La stessa procedura era stata seguita con successo nel caso della APL (acquistata dalla NOL) e della Lykes Lines (acquistata dalla CP Ships).

Intervistato in occasione dell'annuncio dell'accordo, Kruse non ha voluto quantificare il risparmio per la A.P. Møller-Maersk derivante dall'acquisizione in questione. Tuttavia, egli ha definito le sinergie correlate alla combinazione di informatica, amministrazione, vendite e marketing come produttive di "notevoli somme di denaro". Si deve rammentare che la P&ON aveva sottolineato come - alla fine del 1997 - il risparmio sui costi derivante dalla propria fusione ammontasse ad un tasso annuo di 200 milioni.

Tali economie non si possono conseguire mediante un'alleanza operativa, anche se basata su un accordo relativo a molteplici direttrici di traffico. Ad esempio, Reeves ha calcolato che i costi marittimi, anche laddove i benefici derivanti da un'alleanza operativa sono elevati, ammontano solamente al 25% del valore complessivo del trasporto marittimo di linea. Ciò rispetto al 30% del trasporto marittimo e della logistica (che traggono solo vantaggi medi da un'alleanza), al 30% dei terminals marittimi (anche questi con vantaggi medi) ed la 5% ciascuno per marketing e vendite, servizio clienti, finanze ed amministrazione, dove in ogni caso i benefici derivanti da un'alleanza sono bassi.

Quando una fusione ci perde rispetto ad un'alleanza, allora vuol dire che vi è potenziale per ridurre la quota di mercato. La Maersk-SeaLand ovviamente cercherà di conservare le attività combinate della Maersk e della Sea-Land, anche se esse condividono alcuni clienti. E' significativo il fatto che le branche logistiche della Maersk e della Sea-Land, rispettivamente la Mercantile e la Buyers International, continueranno a lavorare separatamente. Kruse si è dichiarato ottimista circa la possibilità di non perdere clienti. "La Maersk-SeaLand offrirà un'ampia gamma di servizi, senza eguali nel settore, a vantaggio dei nostri clienti a livello mondiale" ha proclamato.

Le opinioni nel settore riguardo a questo argomento sono divise. "uno più uno non fa necessariamente due o due e mezzo" ha detto il dirigente di un vettore. Lo stesso dirigente si è detto preoccupato di ciò che potrebbe accadere ai prezzi se la Maersk-SeaLand dovesse subire una clamorosa perdita di quota di mercato. "Potrebbe finire con un disastro. Essi potrebbero dover ridurre le proprie tariffe" si è lamentato.

Tuttavia, Prince è stato più costruttivo. Egli ha infatti suggerito come la legge di riforma statunitense del settore marittimo del 1998 possa avere risolto il problema. "I clienti possono mettere le proprie uova in meno panieri. Essi possono negoziare la protezione del servizio nei loro contratti, il che significa che possono assegnare maggiori quantitativi a meno vettori" obietta. Altri esperti del settore hanno sottolineato il fatto che la P&ON è riuscita a tenersi stretto il suo giro d'affari successivamente alla fusione.

Per Movsky della Eastman Kodak, il dilemma è una questione immediata. A tutto il mese di settembre, la sua società aveva appalti in corso con un gran numero di fornitori di servizio, tra cui - distintamente - la Maersk e la Sea-Land. "Dobbiamo ancora decidere che cosa faremo, ma certamente andremo a chiedergli di fornirci un resoconto in relazione alle loro modalità di approccio alla nostra attività" ha spiegato Movsky, il quale ha aggiunto che il prezzo sarà decisivo per la decisione.

In ogni caso, quale che sia alla fine il risultato del tentativo della Maersk-SeaLand di conservare i propri clienti condivisi, anche se negativo non impedirà l'ulteriore consolidamento nel settore, e da subito. Le forze che stanno sospingendo tale processo sono irresistibili. Inoltre, il fatto che la A.P. Møller-Maersk apparentemente abbia pagato un prezzo ragionevole per la Sea-Land potrà solo far aumentare le probabilità di altri accordi in tal senso.

Tutto ciò che può essere ancora materia di discussioni sono i nominativi delle compagnie di navigazione coinvolte. La P&ON è in cima alle preferenze di qualunque probabile acquirente. Sia Lord Sterling, presidente del Gruppo P&O, che Tim Harris, dirigente superiore della P&ON, non hanno fatto mistero del proprio desiderio di mirare ad un consolidamento societario ed alla riduzione dei costi unitari che sta alla base della volontà sia della P&O che della Royal Nedlloyd di cercare una diversa sistemazione per la P&ON. Sembra proprio che, finalmente, per il settore sia cominciata l'era dei giganti.
