La futura normativa dei consorzi

In vista della scadenza del regolamento della Commissione Europea sulle esenzioni in blocco per i consorzi (870/95), prevista per aprile del 2000, gran parte del dibattito in occasione del recente convegno annuale della EMLO (Organizzazione Europea di Diritto Marittimo) si è concentrato intorno ai cambiamenti proposti in ordine a tale regolamento.

Il regolamento 870/95, introdotto il 22 aprile 1995, è ora in corso di approfondita revisione da parte della Commissione, la quale sta raccogliendo le opinioni in merito di tutte le parti interessate. Nello scorso mese di dicembre, la Commissione Europea ha pubblicato un rapporto sulla normativa europea sulla concorrenza e ha evidenziato diversi settori in cui potrebbero essere apportate delle modifiche. I legali presenti alla conferenza della EMLO hanno reclamato a gran voce le modifiche che - a loro giudizio - dovrebbero essere inserite nel nuovo regolamento che sostituirà l'870/95, sebbene la maggior parte di loro abbia convenuto sul fatto che i regolamenti inerenti ai consorzi abbiano funzionato abbastanza bene.

Il dibattito si è concentrato su:

  • la sostituzione della clausola di ripartizione dei traffici al fine di determinare la posizione dei consorzi in ogni direttrice di traffico mediante il calcolo della quota di mercato;

  • l'incremento della soglia delle quote di mercato;

  • l'assicurazione di informazioni maggiormente trasparenti da parte della Commissione Europea;

  • l'estensione della procedura di estensione al fine di comprendervi anche i servizi di tipo non di linea, quali le operazioni dei traghetti;

  • contratti di servizio multi-vettori;

  • estensione del raggio d'azione del regolamento.

Ai sensi dei regolamenti in vigore, la Commissione Europea consente l'esenzione automatica per i consorzi cui partecipino in base ad accordi tariffari o di conferenza le linee di navigazione, a condizione che essi facciano in modo che la propria quota di traffico non superi il 30%. Nel caso delle associazioni commerciali costituite da vettori non appartenenti alle conferenze, la Commissione consente che la loro quota relativa ai traffici diretti aumenti sino ad un massimo del 35%. Per i consorzi che superino queste quote, esiste una tolleranza di un decimo nell'ambito di due anni consecutivi o laddove la quota eccedente sia dovuta ad un membro non consorziato che si ritiri dal traffico.

Philip Ruttley, socio dello studio legale Rowe & Maw, ritiene che la quota massima possa essere innalzata al 50%.

"Il fatto che si senta dire che solo sette dei quaranta consorzi che avevano presentato domanda siano stati confermati nell'esenzione in blocco, fa capire come la soglia delle quote di mercato sia ancora troppo ristretta" ha dichiarato Ruttley.

Egli argomenta che una più realistica quota di mercato del 50% metterebbe in grado un numero maggiore di consorzi di trarre vantaggio dalle norme relative alla esenzione in blocco e di abbassare gli oneri di costo e di tempo che gravano sui vettori che debbono fare domanda alla Commissione ai sensi del regolamento 4056/86. Ruttley ha dichiarato che la concorrenza non costituisce un problema, data "il formidabile arsenale di strumenti che la Commissione ha a disposizione per attaccare i comportamenti illegali sul mercato da parte dei consorzi".

Mark Clough, avvocato della Ashurst Morris Crisp, e Marjorie Holmes della Davies Arnold Cooper si sono quindi domandati quanto siano valide le analisi sulle quote di traffico ai fini della determinazione della quota di mercato.

Clough ha fatto riferimento a diversi casi in cui le concorrenti modalità di trasporto avevano indotto la Commissione ad approvare i consorzi le cui quote di traffico fossero superiori al 30-35%. Nel caso del raggruppamento Costa Occidentale Regno Unito/Mediterraneo della Ellerman - una divisione della Andrew Weir Shipping, KNSM e Zim - Clough ha affermato che il trasporto stradale si è rivelato un valido concorrente. Nel caso del Joint Overseas Service (Europa/Mediterraneo Orientale) i servizi di linea convenzionali e le "tradotte" asiatiche hanno costituito delle valide alternative.

Clough ha citato altresì le esenzioni concesse a consorzi quali il SAECS II ed il raggruppamento Costa del Golfo del Messico della Contship Containerlines, Italia di Navigazione, TMM e Tecomar, che detenevano quote di traffico superiori al 50%, poiché essi venivano considerati soggetti che "contribuiscono al miglioramento della qualità e della frequenza delle partenze a disposizione dei caricatori".

La Holmes ha sottolineato l'esigenza di una revisione delle quote di traffico. "Estrapolare dati precisi in relazione ai traffici fra i porti è estremamente difficile e comporta una perdita di tempo" ha dichiarato. "Preferisco l'elaborazione di calcoli effettuati Paese per Paese".

Ruttley ha poi enumerato altri settori problematici, tra cui l'ambito esclusivamente marittimo dell'870/95 in un settore di linea sempre più caratterizzato da servizi di trasporto multimodali. "I vettori impegnati in attività multimodali" ha dichiarato "sono esclusi dalle esenzioni in blocco per i consorzi, come lo sono quelli che fissano i prezzi ed adoperano patti di gestione della capacità. Questi ultimi devono comunicare per approvazione alla Commissione i servizi di trasporto marittimi (ai sensi del regolamento 4056/86) terrestri (1017/68) e terminalistico-ausiliari (17/62). Ciò comporta periodi di esenzione diversi: sei anni per i servizi marittimi e tre anni per le operazioni interne".

Il legale ha inoltre accennato alle cosiddette "difficoltà di sovrapposizione delle conferenze". "L'ostilità della Commissione alle tariffe delle conferenze è sempre stata un problema" ha dichiarato "perché sebbene le attività tariffarie dei consorzi non siano mai state esentate, tale questione è difficile da conciliare con la partecipazione ad una conferenza".

Clough ha offerto una soluzione per il controverso problema. "In futuro - ha detto - può darsi che i regolamenti della Commissione Europea sulla concorrenza valgano solamente per le alleanze i cui membri non siano conferenze". Clough ritiene che tale approccio possa rendere più moderna la situazione normativa europea mediante la promozione di servizi di linea maggiormente efficienti e l'emarginazione delle iniziative tariffarie collettive.

Ruttley intravede ulteriori difficoltà che potrebbero provenire dalle proposte di futura riforma avanzate dalla Commissione, le quali insistono sul fatto che i singoli contratti e quelli riservati debbano tutte le volte essere approvati. Ha infatti dichiarato: "E' probabile che il diritto di una singola linea appartenente ad un consorzio di abbandonare il gruppo in risposta ad un'offerta relativa ad un contratto di servizio individuale e riservato comporti seri problemi per la sopravvivenza delle alleanze nel settore marittimo".

Sulla trasparenza delle questioni informatiche, Ruttley ha chiesto alla Commissione di rilasciare un pubblico resoconto delle proprie trattative sulle esenzioni nel corso dell'ultimo decennio.

Nel contempo, la Holmes vorrebbe assistere all'apporto di modifiche alla durata ed al periodo concesso per le osservazioni. "E' importante che la durata delle esenzioni abbia inizio dalla data in cui il servizio comincia e non dal momento in cui viene siglato l'accordo tra i vettori" ha dichiarato il legale. "Spesso, trascorre un notevole lasso di tempo tra i due momenti".

In ordine alle procedure inerenti alle osservazioni, la Holmes ritiene che sei mesi siano troppi. "I legislatori europei dovrebbero adottare un sistema simile a quello degli Stati Uniti" ha detto. "La Commissione Marittima Federale fornisce il proprio responso entro 45 giorni, sebbene siano possibili proroghe".

Il dibattito continuerà ancora per qualche tempo, ma è abbastanza scontato che nei prossimi cinque anni i regolamenti adottino almeno alcuni dei suggerimenti sopra riportati. Come ha concluso Ruttley, "si spera che il dibattito svoltosi in occasione di questa sessione della settima conferenza annuale della EMLO possa convincere la Commissione ad adottare nell'aprile 2000 un regolamento più flessibile e generoso del suo predecessore. Ciò significherebbe cominciare il millennio con il piede giusto".
