Leasing

Cambiano le prospettive per il leasing di contenitori

Il settore del noleggio di contenitori ha sperimentato una strana annata nel 2006 e nel 2007 si trova a dover affrontare ulteriori incertezze.

Lo scorso anno si è rivelato vivace e punteggiato da diversi sviluppi degni di nota.

E’ stata altresì un’annata contraddittoria, dal momento che la maggior parte dei noleggiatori ha nuovamente conseguito buone prestazioni finanziarie, ma ha continuato ad evitare di investire in nuovi contenitori.

Quest’ultimo atteggiamento è stato dovuto per lo più alla persistente volubilità della domanda, dei prezzi, e dei ritorni giornalieri, che ha posto molte ditte nell’insolita situazione di dover respingere finanziamenti, dal momento che non vi è penuria di investitori che desiderano rilevare una quota azionaria nel settore.

Il gruppo più importante è da tempo rappresentato dalla European KG (Kommanditgesellschaft) e da altri fondi correlati, che ora finanziano almeno il 30-40% della flotta di box noleggiati.

Il settore delle KG è stato molto attivo nel 2006 e, in assenza di sostanziali acquisizioni di nuove costruzioni da parte dei noleggiatori, ha invece contribuito all’acquisto di un certo numero di flotte esistenti.

Una ha riguardato la vendita di 273.000 unità da parte della Interpool, per oltre 500 milioni di dollari USA, ad un gruppo d’investimento svizzero nel mese di marzo.

Un altro accordo ancora è stato stipulato a giugno tra il gruppo Florens e la Buss, altro fondo KG tedesco, a copertura di circa 600.000 TEU provenienti dalla propria flotta noleggiata “internazionale” o di terzi.

Questa transazione ha procurato 870 milioni di dollari al noleggiatore con sede a Hong Kong.

In entrambi i casi, le due ditte di noleggio hanno conservato il controllo operativo delle proprie flotte messe in vendita divenendone i gestori per conto degli acquirenti; esse stanno utilizzando i soldi entrati in cassa per finanziare la futura espansione e ripianare i debiti.

Un altro rilevamento ancora è seguito a luglio, quando il gruppo Textainer ha acquisito il controllo di gestione della flotta da 300.000 TEU in precedenza gestita dalla Gateway Container Corp, anche in questo caso per conto di investitori KG.

Questa transazione ha incoronato la Textainer quale maggiore noleggiatore di box a livello mondiale, avendo fatto innalzare la sua flotta a più di 1,5 milioni di TEU.

Si tratta delle maggiori dimensioni mai raggiunte da qualsiasi proprietario/gestore di contenitori; tale conseguenza è stata indotta dall’inesorabile spinta della Textainer a conseguire migliori economie di scala.

La società per due anni era stata seconda in classifica dietro alla Triton Container, in seguito alla precedente massiccia acquisizione di nuovi contenitori da parte di quest’ultimo noleggiatore nel 2004 ed al conseguente raggiungimento delle sue attuali dimensioni per quasi 1,4 milioni di TEU.

Anche il gruppo Florens recentemente ha guadagnato terreno.

Un’aggressiva espansione biennale ha incrementato le scorte sino ad 1,1 milioni di TEU e ha pertanto fatto balzare le dimensioni della società oltre quelle delle due precedenti leader del mercato, GESeaCo e TAL International.

Entrambe, in precedenza, avevano detenuto la prima posizione in classifica: la TAL nel 1996 e la GESeaCo nel 1998.

Altri due minori (ma in rapida crescita) noleggiatori, vale a dire la GVC (Grandview Development Co) e la UES (Unit Equipment Services), hanno migliorato in modo simile la propria posizione fondendo in parte le proprie operazioni all’inizio del 2006, allo scopo di migliorare l’efficienza e di sfruttare le sinergie esistenti.

La loro flotta combinata è ancora conteggiata separatamente, ma ora ammonta ad oltre 400.000 TEU.

La Interpool, nel frattempo, continua a lavorare in stretta collaborazione con la CAI (Container Application Inc), sebbene quest’ultima abbia riacquistato il 50% delle proprie attrezzature in precedenza appartenenti alla Interpool.

La CAI attualmente gestisce una flotta di oltre 600.000 TEU rispetto ai 700.000 TEU della Interpool.

La maggior parte degli altri noleggiatori di punta hanno sperimentato piccoli cambiamenti nella propria classifica o nelle dimensioni della propria flotta nel corso degli ultimi due anni, sebbene tra gli operatori minori vi sia stato un po’ di pigia pigia.

Tra le ditte che maggiormente si sono espanse nel 2006 troviamo la Gold Container, ora classificata al 10° posto con circa 350.000 TEU, la GVC (che detiene 140.000 TEU) e la XINES Ltd, che è stata costituita solamente all’inizio del 2005 e già controlla oltre 100.000 TEU.

Queste tre ditte da sole hanno guadagnato quasi 200.000 TEU in tutto nel 2006, praticamente quasi tutto l’incremento che ha contribuito all’espansione della flotta.

Altre ditte di noleggio hanno pensato di più alla sostituzione dei vecchi box nel 2006, convertendoli in noleggio finanziario o vendendoli a terzi, vale a dire a vettori marittimi o sul mercato di seconda mano.

Si stima che 700.000 TEU siano stati dismessi in totale dalla flotta noleggiata nel 2006, una cifra più alta di qualsiasi altra fatta registrare in precedenza, bloccando così in effetti tutta la crescita.

La TAL, che è stata uno dei noleggiatori che hanno fatto registrare i maggiori acquisti, alla fine non ha conseguito alcun incremento della flotta, dal momento che le sue cessioni hanno oltrepassato le unità inserite.

Questa stessa ditta è passata attraverso un cambiamento di proprietà nel 2004, quando le sue attività di noleggio di box sono state acquisite da investitori di capitale (e dalla sua stessa dirigenza) per oltre 1 miliardo di dollari USA.

Da allora, essa ha avviato un robusto programma di rinnovamento della flotta, nello sforzo di ridurre l’età media del proprio equipaggiamento.

Si dice che vari altri noleggiatori siano stati proposti per la vendita negli ultimi anni, tra cui la Triton, la Textainer e la Cronos.

I loro attuali proprietari sono stati indotti a vendere dalla sostenuta ripresa del valore dei beni, che sono aumentati in linea con i più elevati prezzi dei containers nuovi (e di seconda mano) negli ultimi tre anni.

Prima del 2004, i prezzi dei box nuovi/di seconda mano erano rimasti bassi e relativamente stabili per diversi anni, con la conseguenza che nessuna significativa fusione od acquisizione si era verificata fra ditte di noleggio.

Il valore della sostituzione “nuovo al posto del vecchio” per l’intera flotta di noleggiatori era rimasto relativamente fermo tra il 2000 ed il 2003, a 14-15 miliardi di dollari USA, ma da allora è cresciuto sino ad oltre 22 miliardi di dollari USA.

La corrispondente crescita delle dimensioni in termini di TEU è stata minore del 40%.

Tuttavia, il più clamoroso evento del 2006 è stato lo spettacolare fallimento della SeaCon (Sea Containers), che alla fine è stata costretta a dichiarare bancarotta.

Le attività di traghetti della società sono state vendute a luglio per far fronte ai debiti crescenti, di modo che la sua partecipazione al 50% nella GESeaCo resta la sua attività maggiormente produttiva di profitti.

Alla fine del 2006, anche i beni della SeaCon appartenenti alla GESeaCo erano in procinto di essere venduti, probabilmente alla GE Capital (l’altro socio) che mira al rilevamento della quota allo scopo di assumere il controllo totale.

Essa da tempo era insoddisfatta per il coinvolgimento della SeaCon nella GESeaCo, avendo dovuto in precedenza assicurare la compensazione delle irregolarità riferibili alla SeaCon e riscontrate nella precedente gestione della GESeaCo.

Lo scioglimento della SeaCon segna la fine di quattro decenni di attività commerciale, nel corso dei quali la società era stata il pioniere di parecchi sviluppi nel settore del noleggio di box.

Essa era stata una delle prime a promuovere il noleggio degli speciali, compresi refrigerati e cisterne, e, in seguito, delle casse mobili locali e dei contenitori palletwide.

La GESeaCo è ancora il più grande noleggiatore di equipaggiamento speciale, affermando di averne oltre 200.000 rispetto ad una flotta complessiva di 960.000 TEU.

La quota in termini di investimento è, naturalmente, di gran lunga maggiore.

I soli altri noleggiatori che si avvicinano un po’ a queste cifre sono la Cronos - che detiene circa 50.000 TEU di speciali nell’ambito della propria flotta
operativa di 400.000 TEU - e nomi minori, quali la Amphicon Leasing, la Bridgehead Container Services e la Carlisle Leasing.

Quest’ultima in precedenza offriva solo equipaggiamento refrigerato, ma alla fine del 2006 ha deciso di investire in box standard per la prima volta.

Come accennato sopra, i problemi della SeaCon non possono essere in alcun modo attributi alle sue attività di noleggio contenitori, dal momento che queste negli ultimi anni hanno prodotto prestazioni relativamente buone.

A puntellare la forte capacità di conseguire profitti in genere da parte delle ditte di noleggio vi è stato il persistente elevato livello di utilizzazione della flotta.

Quest’ultimo in media è stato del 95% nel corso del 2006, avendo già conseguito oltre il 90% a partire dal 2003.

Un tasso così alto in precedenza non era mai stato sostenuto per così tanto tempo, e ha avuto un impatto finanziario assai positivo, mediante la riduzione dei costi di gestione del fermo di deposito e del riposizionamento.

Questi ultimi si sono ridotti del 75-80% rispetto al loro precedente punto di massima nel 2001, quando l’utilizzazione era al di sotto dell’80% e 300 milioni di dollari venivano spesi annualmente in depositi e noleggio di navi per rilocalizzare i vuoti.

Unitamente a questi miglioramenti, il flusso di entrate annualizzate derivanti dal noleggio è cresciuto di oltre il 30%, aumentando dai 2,1 miliardi di dollari USA stimati per il 2001 ad oltre 2,7 miliardi di dollari USA nel 2005.

Il miglioramento dell’utilizzazione dei noleggiatori si può in gran parte spiegare con il loro dirottamento in massa dall’offerta di leasing a lungo termine (LTL) a favore degli accordi di noleggio master (MLA) di durata minore.

Si è trattato di una linea di tendenza graduale, che risale ai tempi di maggiore deflazione della fine degli anni ’90, quando i prezzi e le tariffe giornaliere erano calati di oltre il 40% nel giro di due anni, di modo che era diminuita la convenienza degli MLA per i box di nuova costruzione.

Oggi, quasi tutto l’equipaggiamento di nuova costruzione viene assoggettato agli LTL (normalmente per una durata iniziale di cinque anni), così come vi è una crescente quota di vecchi contenitori restituiti.

Questi ultimi in precedenza venivano piazzati in leasing master, ma vengono rinoleggiati sempre più sulla base di LTL estesi (per un minimo di tre anni), ai sensi del contratto originale ovvero ad un nuovo locatario.

L’impatto di tali iniziative è stato profondo, dal momento che la quota di TEU fissati sulla base di LTL è balzato da meno del 50% a quasi il 65% in appena sei anni.

La percentuale degli MLA è scivolata dal 35% al di sotto del 30%, così come anche la quota dei box a fine noleggio è calata notevolmente.

Il numero complessivo dei contenitori fissati su LTL è più che raddoppiato nel corso del periodo sino a quasi 6,5 milioni di TEU, laddove la flotta degli MLA (attestata a 2,5 milioni di TEU) è cambiata solo marginalmente.

Il conteggio dei fine noleggio si è dimezzato.

L’attrattiva degli LTL di nuova costruzione rispetto agli MLA è costituita dal minore rischio correlato che i primi presentano.

Le tariffe degli LTL sono determinate solamente dal costo di acquisizione/finanziamento dell’equipaggiamento, e perciò non portano con sé nessuna delle incertezze associate ai contratti di leasing a più breve termine più orientati sul servizio (e più a costo fisso).

Tuttavia, la determinazione delle tariffe LTL è di gran lunga più semplice quando i prezzi dei contenitori sono relativamente stabili e predicibili, vale a dire la situazione che si presentava prima del 2004.

Il più volubile scenario dei prezzi degli ultimi due anni si è dimostrato difficile per i noleggiatori e ha notevolmente scoraggiato gli investimenti dal 2005.

Di conseguenza, le ditte di leasing hanno effettuato nel 2005-06 un livello di acquisizioni di nuovi containers tra i più bassi di sempre.

Comportando ciò la stagnazione della crescita della flotta dei noleggiatori, questa situazione è già costata loro una significativa perdita di terreno in termini di proprietà di TEU.

Alla metà del 2006, il settore del noleggio controllava appena il 42% dei TEU globali, vale a dire il livello più basso dai tempi dei primi giorni della containerizzazione.

Ciò, rispetto al 45-47% mantenuto nel decennio che va sino al 2005, e minore persino rispetto al precedente basso livello del 43% conseguito nel 1990.

La quota dei noleggiatori degli acquisti a livello globale è ad un punto basso simile, ben al di sotto del 30% della produzione mondiale prevista per il 2006.

Questa scarsa prestazione ha fatto seguito ad un egualmente basso 32% fatto registrare nel 2005.

Le uniche annate in cui furono conseguite quote minori sono state il 1983 ed il 1985, quando il settore del leasing si trovava in profonda crisi.

Inoltre, il verificarsi di due annate improduttive di fila è senza precedenti, perché tutte le precedenti annate di bassi investimenti erano state invariabilmente seguite da un anno positivo, di modo che il settore del noleggio era riuscito a riguadagnare il terreno perduto.

Invece, i noleggiatori di box attualmente sembrano voler respirare più a lungo prima di procedere ad acquisti, lasciando perciò capire che avverranno cambiamenti strutturali a più lungo termine ed un possibile cambiamento di rotta in relazione al ruolo complessivo del settore.

Diversamente da quanto avveniva in passato, quando le ditte di leasing offrivano un maggiore fattore di servizio, centrato sul più rischioso MLA e sul noleggio a breve termine, adesso esse stanno già optando per il più sicuro, benché più limitato, contratto LTL, ma al prezzo di una sempre maggiore perdita di terreno e di influenza.

Come sia, molte linee di navigazione sono già meglio in grado di movimentare il proprio riposizionamento globale, a seguito dell’introduzione di navi più grandi, consegnando perciò rapidamente alla storia il vecchio contratto MLA “di elevato servizio”.

Le previste acquisizioni dei noleggiatori per meno di 1 milione di TEU nel 2006, se aggiunte agli insignificanti 800.000 TEU acquistati nel 2005, difficilmente si tradurranno in una significativa crescita della flotta.

Invece, il conteggio del noleggio resta fermo a poco meno di 10 milioni di TEU, in confronto agli oltre 13 milioni di TEU posseduti/finanziati dai vettori marittimi e da altri operatori di trasporto.

Queste categorie nel 2006 dovrebbero avere acquistato la sbalorditiva cifra di 2 milioni di TEU, avendone già incamerati 1,75 milioni nel 2005, conseguendo così una crescita annua a doppia cifra nella propria flotta combinata di proprietà a partire dal 2004.

Questo enorme investimento è stato alimentato dalle continue consegne di portacontainers, che ha comportato l’addizione di oltre 2 milioni di TEU di altri spazi-containers nel 2005-06.

Esso è stato altresì indotto dalle ottime prestazioni finanziarie delle linee di navigazione, che nel 2006 sono solo un po’ peggiorate, ma che in precedenza le avevano messe in grado di mettere da parte una quantità considerevole di denaro utilizzabile per investimenti diretti.

I vettori marittimi differiscono dal settore del noleggio perché hanno bisogno di reperire equipaggiamento containerizzato continuamente e quali che siano le circostanze, al fine di supportare le proprie operazioni in corso.

Essi sono pertanto obbligati ad investire quando i prezzi sono alti o volubili, quale che sia il rischio inerente.
Al contrario, molti noleggiatori stanno sempre più indietreggiando a questo riguardo, e prendono in considerazione la ricerca di attività solo se e quando i margini si dimostrano favorevoli.

Tale situazione si verifica, grosso modo, quando si riesce a conseguire un ritorno accettabile sull’investimento di cassa iniziale relativo all’equipaggiamento di nuova utilizzazione.

Il livello minimo richiesto è attualmente calcolato in oltre il 14% su un termine quinquennale, che più o meno si traduce in quasi 0,80 dollari USA/giorno in relazione ad una unità da 20 piedi acquistata franco fabbrica per 2.000 dollari USA.

Molti hanno avuto difficoltà a conseguire tale risultato nel 2005, dal momento che i prezzi e le tariffe di noleggio dei box nuovi sono precipitati del 40% nel corso dell’anno, lasciando molte ditte nella situazione di chi si trova a detenere equipaggiamento sopravvalutato; alcune di loro, di conseguenza, hanno conseguito un ritorno sull’investimento di cassa iniziale poco soddisfacente.

Sebbene il ritorno sull’investimento di cassa iniziale e le tariffe giornaliere da allora si siano ripresi, e poi ampiamente stabilizzati, l’esperienza del 2005 ha senza dubbio provato molti noleggiatori; questo spiega ulteriormente la scarsità di investimenti nel 2006.

Ci si aspetta una cautela simile per il 2007, anche se probabilmente ciò aprirà la strada ad ulteriori fusioni tra società e ad altre transazioni.
