L'onda d'urto della NOL/APL

La APL, la seconda maggiore linea di navigazione statunitense specializzata nel trasporto di contenitori, è ora divenuta una filiale completamente di proprietà della NOL, il vettore di bandiera nazionale di Singapore. Tutte le quote azionarie della APL non acquistate sono state convertite nel diritto di ricevere una liquidazione di 33,5 dollari per azione. La definizione dell'accordo relativo a tale acquisizione ha richiesto poco meno di sette mesi (quasi fino a dicembre).

Subito dopo la conclusione della transazione, la APL è stata ritirata sia dalla Borsa di New York che da quella del Pacifico. Il prezzo d'acquisto complessivo è stato pari a 825 milioni di dollari.

Tra gli elementi-chiave dell'accordo definitivo si possono annoverare:

  • la creazione di una tra le prime cinque società al mondo specializzate in servizi di linea containerizzati e trasporti intermodali, dotata di 75 navi per un totale di quasi 200.000 TEU;
  • la combinazione dei servizi di linea della NOL e della APL e l'utilizzazione del nome di quest'ultima quale marchio operativo e di marketing internazionale per le attività containerizzate del gruppo. Questa divisione ha la propria sede ad Oakland;
  • il consolidamento dei principali servizi di linea est/ovest del gruppo in una nuova alleanza multi-traffico basata sulla partecipazione della APL alla attuale Global Alliance. Ciò implica l'abbandono da parte della NOL della Grand Alliance nel cui ambito essa operava unitamente alla Hapag-Lloyd, alla NYK Line ed alla P&ON (P&O Nedlloyd), nonché la sua associazione con la MOL e la HMM (Hyundai Merchant Marine). Inoltre, finirà per prevalere un accordo separato di collaborazione con la MISC (Malaysian International Shipping Corp) rispetto ai traffici Europa/Asia/Europa;
  • l'uso del nome della NOL in relazione alle attività societarie non containerizzate, tra cui il noleggio, la pianificazione, gli investimenti e la contabilità. Queste attività verranno gestite da Singapore;
  • il trasferimento delle cinque navi battenti bandiera statunitense e delle quattro navi battenti bandiera delle Isole Marshall della APL alla ASM (American Ship Management LLC), una società con sede negli U.S.A. e diretta da ex dirigenti della APL. La ASM gestirà le navi e beneficerà dei finanziamenti relativi al naviglio previsti dal Programma Sicurezza Marittima del governo statunitense. Tutto il tonnellaggio in questione verrà noleggiato a tempo determinato alla APL.

L'utilizzazione del marchio APL può avere suscitato la sorpresa di molti, ma in realtà di tratta di una mossa nel contempo audace e saggia. Gil Roeder, portavoce ufficiale della APL, ha spiegato: "Entrambe le organizzazioni hanno condotto un attento studio di marketing e quest'ultimo ha dimostrato che il nome della APL era più conosciuto a livello mondiale. Persino nell'ambito dei traffici in cui non effettuiamo servizi, quali l'Asia/Australia, il transatlantico ed il Mediterraneo, caricatori e consegnatari avevano sentito parlare della APL" ha dichiarato. "Poi, è diventato importante - dovendo noi andare ad organizzare un servizio senza soluzione di continuità su tutti i mercati - riuscire ad avere una sola identità".

Ora comincia il lavoro di integrazione delle due organizzazioni, che avranno un giro d'affari combinato annuo superiore ai 4 miliardi di dollari, in un solo organismo. Nel gruppo risultante dalla fusione, più del 90% del volume d'affari sarà generato dalla APL, mentre le attività marittime rappresenteranno il 66% degli introiti complessivi ed i servizi terrestri il 25%. Le attività di noleggio della NOL contribuiranno con il 7% appena alle vendite del gruppo, mentre il restante 2% proverrà dalle cosiddette altre operazioni.

I proventi poi deriveranno in gran parte dal transpacifico, che costituirà il 53% del giro d'affari. I traffici interasiatici, con l'Europa e l'Australasia contribuiranno - rispettivamente - con il 18%, il 16% ed il 2%. Le attività frigo contribuiranno con l'8%.

La dirigenza confida che il processo di fusione possa essere portato a termine nel corso del primo trimestre del 1998. Il gruppo stanzierà un fondo straordinario una tantum di 80 milioni di dollari destinato a finanziare i programmi di ristrutturazione e riduzione del personale che si renderanno necessari e destinerà altri 200-250 milioni di dollari a riserva.

I risparmi sui costi annuali vengono stimati nell'ordine dei 130 milioni di dollari/anno, di cui 45 milioni saranno relativi alle spese generali, 30 milioni alle navi, 30 milioni alla logistica e 25 milioni alla informatica/telematica.

Cheng Eng Lua, vicepresidente vicario della NOL, ha inoltre alluso "alla migliorata efficienza ed alla eliminazione dei doppioni quale metodo per spianare la strada ad una organizzazione maggiormente produttiva e concentrata sul servizio".

Nel contempo, Tim Rhein, presidente e dirigente capo della APL, ha sottolineato le sinergie operative esistenti tra le due società e la loro combinata capacità di offrire servizi di trasporto merci senza soluzione di continuità a fermata unica. "Offriremo servizi logistici veramente globali ai nostri clienti di tutto il mondo" ha dichiarato. "Il nostro successo futuro dipende da ciò".

Per quanto attiene la futura struttura e composizione delle alleanze globali, l'accordo APL/NOL ha di nuovo ingenerato una grande confusione. Ciò, perché l'annuncio del ritiro della NOL dalla Grand Alliance, atteso per l'inizio del 1998, non significa automaticamente la sua adesione alla attuale Global Alliance.

"Stiamo allestendo una alleanza globale dai caratteri del tutto nuovi" ha rimarcato Roeder. "Il nostro precedente accordo era basato specificamente sui traffici, dal momento che né la Global né la Grand Alliance erano uniformemente distribuite lungo tutte le direttrici di traffico. Quest'altro sarà molto diverso".

Aggiunge Roeder: "Esso sarà inoltre più flessibile sia per quanto riguarda il numero di navi coinvolte sia per quanto attiene la struttura organizzativa proposta". Se ne deduce, ad esempio, che la APL, la MOL e la HMM stiano cercando il modo di accelerare il processo decisionale nell'ambito dell'alleanza. "Data la natura del settore marittimo globale, in fase di rapido mutamento" sostiene Roeder "è importante che i vettori siano in grado di rispondere alla svelta alle mutate condizioni di mercato".

In termini di numero di navi, il gruppo consisterà di più di 100 portacontenitori, almeno la metà delle quali saranno unità post-Panamax di più di 4.800 TEU. Ciò in confronto alla attuale Global Alliance che comprende appena 66 navi. E' interessante notare come tale cifra sia inferiore a quella della flotta combinata NOL/APL.

La nuova alleanza è anche caratterizzata dal proprio più ampio ruolo commerciale, dal momento che essa abbraccerà il transatlantico, il Mediterraneo/Asia e determinati traffici speciali del Sudamerica.

La decisione della MOL di entrare a far parte del mercato transatlantico costituisce uno dei più importanti aspetti del nuovo accordo. Attualmente, essa è il solo operatore marittimo giapponese a lungo raggio a non disporre di servizi nell'Atlantico ed ovviamente finora si è sentita sminuita dal fatto di non poter mettere questa tratta a disposizione dei propri clienti globali.

Lo stesso si sarebbe potuto dire della APL (prima dell'acquisizione), mentre le quote sia della NOL che della HMM sono modeste al momento attuale. La NOL acquista spazi sul servizio Pacific Atlantic Express della Grand Alliance, sebbene nel transatlantico esso sia principalmente un servizio dedicato alla Hapag-Lloyd, mentre la HMM dispone di un modesto spazio pari a 400 TEU ogni partenza sul servizio della MSC (Mediterranean Shipping Co).

Tuttavia, le trattative inerenti al servizio transatlantico proseguono e J. J. Lee, dirigente anziano responsabile dei servizi di linea della HMM, suggerisce che la sua società non dovrebbe aggregarsi alla alleanza in questo mercato fino al 1999. "Abbiamo un accordo con la MSC che arriva fino alla fine del 1998, che abbiamo intenzione di rispettare fino in fondo" conferma.

La NOL, peraltro, ha intenzione di continuare a presenziare in questo traffico ininterrottamente. Perciò, è probabile che la NOL e la MOL stipulino un accordo ad interim, il cui esito più probabile potrebbe essere il lancio di un collegamento dedicato con quattro navi della gamma fra 2.000 e 2.500 TEU nel corso del primo trimestre del 1998.

Anche gli accordi Mediterraneo/Asia sono in fase di trattativa; si ritiene che i loro membri stiano valutando un certo numero di opzioni che spaziano dalle connessioni pendolari agli scali in porti lungo il percorso nell'ambito di una operazione Nord Europa/Asia o, infine, ad un collegamento dedicato da capolinea a capolinea.

Le tre linee di navigazione che formano la nuova alleanza, ad esempio, servono questo traffico in modi diversi: la scelta della MOL è caduta su un'operazione dedicata da capolinea a capolinea con la P&ON e la MISC, mentre quelle della NOL e della HMM si basano su scali lungo il percorso nel Mediterraneo sulla direttrice europea. La NOL , in questa tratta, lavora nell'ambito della Grand Alliance.

Integrare la rotta nella nuova alleanza è particolarmente importante per la MOL, dal momento che attualmente il tonnellaggio ex Nedlloyd costituisce il sostegno principale del servizio e che verrà ritirato all'inizio del 1998, allorquando la P&ON passerà alla Grand Alliance. Ai sensi dell'accordo rivisto, la NOL e la HMM trarranno benefici dalla possibilità di accedere ad un maggiore quantitativo di spazi-containers in questa direttrice di traffico.

In effetti, l'intero accordo in fase di trattativa fra le tre linee di navigazione le metterà ancora più in luce nell'ambito del settore.

La HMM lavora con gli attuali partners della Global Alliance dalla scorsa estate, allorquando è entrata a far parte di un accordo per lo scambio reciproco di spazi-containers con tale gruppo nei settori delle rotte Costa Occidentale U.S.A./Asia ed Europa/Asia. Lee della HMM ritiene che la prossima partecipazione a pieno titolo all'alleanza darà alla sua società ancora maggiori opportunità di risparmiare sui costi nonché un migliore livello dei servizi. "Trarremo vantaggio dal maggior numero di scali diretti apportati dalle compagnie di navigazione di linee primarie, cosicché potremo risparmiare sulle spese relative ai traffici di raccordo, all'equipaggiamento ed alle aree di stivaggio e terminalistiche".

La nuova alleanza globale non esclude l'arruolamento di altri membri. "La nostra nuova alleanza accoglierà favorevolmente qualsiasi linea di navigazione ben disposta che condivida con noi una filosofia operativa ed una visione comune" dichiara Lua.

Peraltro, il futuro della OOCL, il socio a lungo termine della APL nei traffici transpacifici nonché membro fondatore della Global Alliance, sembra incerto. Sebbene la APL abbia accettato di onorare l'accordo bilaterale a lungo termine esistente tra la APL e la OOCL sulla rotta Costa Occidentale USA/Asia (la cui scadenza è prevista alla fine del 2005), sembra improbabile che la partecipazione di quest'ultimo vettore alle altre direttrici di traffico possa essere gestita dalla APL, dalla MOL e dalla HMM.

Nell'ambito del mercato dell'Atlantico settentrionale, ad esempio, la OOCL ha preso impegni a lungo termine con altri vettori tra cui l'Accordo Quote Naviglio (P&ON e Sea-Land unitamente alla Maersk Line) da e per i porti statunitensi e la Canada Maritime da e per Montreal.

"Però questo mutevole scenario offre alla OOCL l'opportunità di rivedere le proprie partecipazioni ad alleanze secondo uno spettro più ampio" ha dichiarato un portavoce della società. "Mentre continuano le trattative con la NOL in ordine all'argomento dei futuri servizi transpacifico ed Asia/Europa, la OOCL sta valutando varie alternative attualmente in fase di sviluppo".

Il portavoce si è rifiutato di fornire particolari circa le opzioni al vaglio della OOCL, ma ha rivelato che una decisione sarebbe stata presa entro la fine del 1997.

Attualmente, la OOCL contribuisce con 11 navi alla rete dei servizi transpacifici della Global Alliance e provvede da sola al servizio PS2. Nel settore Europa/Asia vengono impiegate cinque navi.

Di modo che, cosa ne sarà della Grand Alliance? Come farà a mantenere lo stesso livello di servizio e di copertura delle rotte senza la NOL? Tradizionalmente, essa è sempre stata più forte nel settore Europa/Asia che in quello transpacifico e, con l'abbandono da parte della linea di navigazione di Singapore, essa sembrerebbe ancora più debole in questo mercato.

La NYK, infatti, rappresenta il solo operatore transpacifico affermato del gruppo in questione. La OOCL potrebbe servire a colmare il divario, ma il vettore in parola ha stipulato un accordo a lungo termine con la APL e potrebbe tirarsene fuori solamente nel caso che i relativi vantaggi del caso fossero mutui.

I dirigenti della Grand Alliance hanno affrontato il problema in questo modo: "L'apporto della capacità della Nedlloyd alla Grand Alliance controbilancerà la perdita della NOL ed anzi tale vicenda finirà per rafforzare la già salda posizione della Grand nei traffici Europa/Asia" ha dichiarato Robert Woods, direttore esecutivo traffici della P&ON. "Riguardo al transpacifico, la Grand Alliance ha comunicato la possibile esigenza di un prodotto derivante da tre linee".

Si sa che i vettori individuali hanno in corso trattative rispetto ad un certo numero di opzioni inerenti a questo mercato, mirate all'istituzione ed all'avvio della nuova operazione nella primavera di quest'anno. "Abbiamo sempre tenuto presente la possibilità che la NOL uscisse dalla Grand Alliance a causa della forza della Global nel transpacifico" commenta Masayoshi Kurita dell'ufficio comunicazione sociali della NYK. "Eravamo ben preparati a tale evenienza".

Così, ancora una volta, un'altra acquisizione ha gettato il settore nella confusione più totale. L'onda d'urto generata da questo accordo farà sentire i suoi effetti ancora per qualche tempo. Ed in vista vi sono altre fusioni. Ci vorranno altri 12 mesi almeno prima che comincino a farsi sentire i primi concreti benefici operativi e risparmi sui costi derivanti dalle alleanze.
