Gli effetti della quotazione in borsa della CP Ships

La CP Ships ha cominciato ad esistere quale società quotata in borsa il 1° ottobre 2001, allorquando la conglomerata CPL (Canadian Pacific Ltd) si è scissa in cinque società per azioni quotate in borsa a sé stanti. La società è stata accolta favorevolmente dalla comunità degli investitori: il valore delle sue azioni ha fatto un balzo del 34% nel giro di un mese e del 47% nei 10 mesi successivi. Ma ciò è stato significativo anche per il settore del trasporto marittimo containerizzato: la CP Ships è l'unica compagnia di navigazione containerizzata che svolge attività marittima pura ad essere quotata in borsa e che è perciò soggetta ai rigorosi requisiti di trasparenza richiesti dalle borse di Toronto e New York. In un settore assai competitivo e riservato, improvvisamente sono comparse cifre dettagliate di dominio pubblico.

Il vice presidente relazioni con gli investitori della CP Ships, Jeremy Lee, ha beffardamente descritto il lavoro richiesto dalla quotazione in borsa come "notevole". Una sfida particolare è stata rappresentata dallo sviluppo di una "storia" azionaria per una "comunità di investitori che non sapeva proprio nulla del settore della containerizzazione". Un particolare svantaggio è stato costituito dal periodo, che, come afferma Lee, "non avrebbe potuto essere peggiore". Il settore si trovava infatti in una delle sue peggiori recessioni degli ultimi 20 anni, unitamente ad un vero e proprio crollo dei mercati finanziari.

Anche così, la comunità finanziaria ha salutato con entusiasmo la CP Ships. L'analista esperto di investimenti Fadi Chamoun della UBS Warburg afferma al riguardo: "Il settore degli investimenti è sempre aperto all'ingresso di una società di buona qualità che ottiene buoni profitti sul capitale, e la CP Ships ha sempre fornito buoni profitti sul capitale". Essa inoltre ha fatto degli sforzi finalizzati ad educare i mercati degli investimenti in ordine al trasporto marittimo containerizzato, come dice Robert Fay, analista della Canaccord: "Buona parte di tale sforzo consiste nell'assicurarsi che la gente capisca le sfumature dell'attività in questione".

Quasi un anno fa, Lee spiegava che poco era cambiato negli obiettivi della società dal momento della quotazione in borsa: le opportunità di profitto sono sempre state al centro della sua attenzione. I vantaggi, peraltro, sembrano notevoli. Prima della scissione, le divisioni nell'ambito della CPL dovevano scontare un "fattore conglomerazione", dato che le azioni dell'intera società venivano scambiate ad un valore notevolmente minore rispetto a quello che le diverse parti presentano se prese singolarmente. Con la quotazione in borsa, il valore della CP Ships è salito in modo clamoroso.

Ed è ancora più importante notare come essa abbia consentito alla CP Ships di indirizzare il proprio destino e di prendere le proprie decisioni. L'indipendenza è stata un grande vantaggio, avendo fornito alla società un accesso diretto ai mercati nord-americani al fine di aumentare il capitale. Un osservatore del settore ha sottolineato come la maggior parte della compagnie di navigazione abbia incontrato difficoltà a contrarre debiti che non fossero garantiti da beni quali le navi. Come sostiene Fay della Canaccord, la CP Ships presenta maggiore flessibilità dei propri concorrenti ed è in grado di essere più opportunista.

La CP Ships si è servita di tale indipendenza nello scorso mese di luglio procurandosi circa 285 milioni di dollari mediante l'offerta di 9,6 milioni di azioni ordinarie ed il collocamento presso privati di note non garantite esigibili nel 2012. Ciò ha controbilanciato l'acquisizione della Italia di Navigazione per 40 milioni di dollari, l'acquisizione di quattro imbarcazioni da noleggio ai sensi del programma di tonnellaggio di proprietà della società e la creazione di una struttura capitalistica più flessibile e di una ulteriore liquidità.

Tuttavia, la società aveva sperato di realizzare 350 milioni di dollari. Dan Clague, operatore di banca d'affari specialista del settore presso la SG Hambros di Londra, ha commentato che, date le condizioni del mercato e la carenza di familiarità con il settore della comunità nord-americana degli investitori, la CP Ships ha comunque fatto bene anche così: "Probabilmente era l'unica compagnia di navigazione di linea che al momento se lo potesse permettere". Ciò riflette il rischio inerente alla quotazione in borsa e spiega perché i piani di quotazione degli altri vettori sono rimasti lettera morta.

La domanda è: in che modo l'esperienza della CP Ships quale compagnia di navigazione containerizzata pura potrà influenzare le relazioni del settore con i mercati d'investimento? Ciò apporterà un nuovo interesse nel trasporto marittimo containerizzato da parte dei mercati d'investimento, oppure si tratta di un caso singolo, che interessa solamente a coloro che seguono le borse di Toronto e New York?

Molti analisti nord-americani intervistati da Containerisation International sono sembrati per lo più interessati alla CP Ships come singola società, in particolar modo data la lunga assenza di altri soggetti di trasporto marittimo containerizzato da questi mercati. Certamente, la CP Ships stessa deve subire le conseguenze dell'essere una "industria da una sola borsa", secondo Randy Cousins della BMO Nesbitt Burnes. Egli afferma che prima della quotazione della CP Ships, "non aveva mai preso in considerazione il settore marittimo containerizzato né lo avrebbe mai fatto".

Per quanto attiene il confronto con la comunità degli investitori, la singolare condizione della CP Ships rappresenta una sorta di mal di testa per i suoi pari. Nessun'altra compagnia di navigazione pura containerizzata svela informazioni finanziarie dettagliate, sebbene la PONL (P&O Nedlloyd) abbia incrementato la propria trasparenza quando ancora programmava la propria quotazione in borsa. La natura globale del settore sta anche a significare che gli altri vettori possono aver sede in altre parti del mondo, il che rende più difficili i confronti: l'ambiente politico, economico, finanziario e normativo, i rischi dello scambio con l'estero e la mancanza di trasparenza, nonché le barriere linguistiche costituiscono tutti quanti dei problemi. Un analista ha dichiarato di seguire i conglomerati laddove le divisioni di trasporto marittimo containerizzato rappresentavano almeno il 50% dei vari proventi, come nel caso della Evergreen, della K Line e della NOL. Altri avevano scelto i modelli di attività quale fattore decisivo, quali la Wan Hai di Taiwan o la Regional Container Lines, entrambe leaders nei mercati di nicchia. Alcuni analisti hanno paragonato il trasporto marittimo containerizzato al settore nord-americano dell'autotrasporto, dato che tutti e due i mercati sono assai frammentati, che le loro economie sono simili e che la movimentazione di box è paragonabile.

Tuttavia, gli analisti non si aspettano che altri vettori vadano presto a raggiungere la CP Ships nell'arena pubblica. Un fattore che rende questa compagnia di navigazione un caso singolare è consistito nella sua base azionaria già pronta. La maggior parte delle compagnie vorrebbe quotarsi in borsa per poter aumentare il capitale, piuttosto che scindersi, ma il calo in atto in molti mercati di investimento rende molto difficili questi tempi. Un banchiere d'investimento ha ipotizzato che la P&O potrebbe scindere la propria quota del 50% nella PONL direttamente a favore dei propri azionisti, di modo che gli azionisti della P&O potrebbero detenere i propri investimenti nella PONL attraverso le azioni della Nedlloyd quotate alle borse di Londra ed Amsterdam. Tuttavia, ciò sarebbe impopolare dal momento che le azioni della Nedlloyd non sono molto valutate e la società presenta alcuni meccanismi anti-rilevamento ed altri ancora che non sarebbero accettabili per molti azionisti britannici. L'analista di trasporti marittimi globali Charles de Trenck della Salomon Smith Barney ha propugnato la valutazione di altre possibili scissioni su base caso per caso, a seconda della differenza di struttura societaria e dei modelli di attività a livello globale.

Non sorprende, perciò, che tra gli analisti vi sia unanime consenso circa il fatto che lo squilibrio tra offerta e domanda e le basse tariffe di trasporto attualmente non rendano molto appetibile il settore del trasporto marittimo containerizzato per gli investimenti, malgrado la sua importanza nei traffici mondiali. Il settore soffre di "stiracchiamenti di bilancio", dato che molte linee di navigazione ottengono profitti solamente in occasione delle riprese del ciclo. Mark McVicar, analista di investimenti alla Dresdner Kleinwort Wasserstein che si occupa dei rivali europei della CP Ships, commentava di non poter raccomandare il settore containerizzato e che, a causa dell'eccesso di capacità e di carenza di crescita della domanda, potrebbe passare un altro anno prima di poterlo fare. Gli analisti che seguono la CP Ships tendevano invece ad essere più entusiasti; ad esempio, Chamoun commentava: "Il settore cresce a ritmo elevato, le prospettive sono assai favorevoli ed i ritorni sul capitale sono decisamente buoni rispetto alla corretta strategia". La maggior parte degli analisti interpellati da Containerisation International stima che il settore potrebbe riprendersi dalla metà del 2003 al 2004.

Data la sua profittabilità, in particolar modo in questo settore di attività, essi suggeriscono come la CP Ships sembri sottovalutata come società. David Newman della National Bank Financial ha dimostrato come la CP Ships prevalga rispetto ai suoi pari secondo un triplice metro di valutazione. A settembre, il valore d'impresa della società alla luce della proporzione EBITDA era di 4-5x, rispetto ai circa 7-8x delle altre linee di navigazione. La proporzione del suo valore azionario 2003 rispetto ai proventi era tra i 9-10 rispetto alle stime di Newman quanto ai proventi per azione, rispetto ai 14-16 delle compagnie di navigazione maggiormente paragonabili ad essa, e, infine, essa scambia al 78% del proprio valore contabile, rispetto al 130% dei suoi pari. Infatti, de Trenck asserisce che la capacità della maggior parte delle compagnie di navigazione di linea a pagare interessi sul proprio debito rappresenta una importante questione per il settore. Newman ha altresì sottolineato l'interesse degli investitori di valore nella quotazione iniziale della CP Ships, vale a dire gli investitori che ottengono profitti acquisendo quote di partecipazione azionarie in società sottovalutate e detenendole fino a quando il loro prezzo riflette il loro valore intrinseco reale.

Una società, peraltro, non può trascinare un intero settore. Gli analisti ritengono che il trasporto marittimo containerizzato abbia bisogno di una "massa critica" per essere attraente come settore nei confronti degli investitori. Cousins della BMO Nesbitt Burns ha dichiarato: "Più il settore ingenera una massa di investimenti, più riesce ad attirare l'attenzione".

Molti analisti d'investimenti interpellati da Containerisation International hanno dichiarato di ritenere (come forse poteva essere prevedibile) che la quotazione in borsa potesse costituire una buona cosa per l'intero settore. La punizione del mercato potrebbe avere attenuato l'eccesso di capacità relativa alla baldoria di ordinazioni di post-panamax che de Trenck ha descritto come "il bacio della morte" di molti traffici. Come sottolinea Cousins, l'introduzione di una classe di azionisti tempera la dirigenza, il che potrebbe rappresentare "un notevole vantaggio per la competitività". Commenta al riguardo Fay: "Le società, più si quotano in borsa, più vorrebbero essere soggette alla disciplina del mercato e meno probabilmente vorranno essere aggressive nel modo distruttivo che talvolta si presenta in certe rotte di traffico".

Il problema è che ciò che molti ritenevano fosse il fattore maggiormente decisivo per la permanenza del settore nei mercati d'investimento, rappresenta altresì un notevole deterrente: vale a dire, la trasparenza. La CP Ships ha soddisfatto i requisiti dei mercati nord-americani circa la trasparenza. Non solo essa rende trasparenti le prestazioni nelle singole direttrici di traffico, ma il suo programma di rinnovamento del naviglio tende ad acquisire le navi piuttosto che a noleggiarle, portando il tonnellaggio ascritto a bilancio ad una maggiore trasparenza (parte del capitale in ordine a ciò è stato realizzato con le obbligazioni dello scorso mese di luglio).

Ciò è radicalmente diverso da ciò che prevalentemente viene ritenuta la prassi migliore. Ad esempio, la Maersk Sealand, che fa parte del gruppo AP Moller, è nota per la sua riservatezza. Tuttavia, de Trenck sostiene che la trasparenza è assolutamente necessaria, adesso più che mai. Si tratta della lezione più importante che il settore possa apprendere dalla CP Ships, per una ragione molto semplice. Asserisce infatti: "Meno trasparenza c'è nel settore, più tempo ci vuole affinché tutti i partecipanti riconoscano i problemi". Il mistero che circonda i risultati finanziari non riesce a far sì che le informazioni non trapelino, e non solo ad opera dei concorrenti, ma anche dai vettori stessi. Ad esempio, una ricerca pubblicata nello scorso mese di luglio ha riconosciuto le buone prestazioni della Evergreen Marine sulla base delle informazioni fornite, ma nello stesso contesto si afferma: "Dopo i recenti traumi contabili negli Stati Uniti, tuttavia, riteniamo che la Evergreen rimanga esposta a notevoli ri-tariffazioni verso il basso da parte di investitori istituzionali in conseguenza della sua complessa struttura di società holding". De Trenck pensa che il settore sia ad un crocevia e ha stimolato i soggetti che vi sono coinvolti a "discutere quanto la trasparenza possa essere utile a fini di analisi senza rivelare troppi segreti alla concorrenza".

Gli standard di trasparenza sono diversi in tutto il mondo. Ad esempio, i mercati nord-americani si basano sui rapporti trimestrali, rispetto a quelli di metà anno prevalenti in Asia. Lo stesso vale per la contabilità, ad esempio la valutazione dei beni. Taiwan, malgrado i problemi sulla gestione delle società, è molto rigorosa circa gli standard per il deprezzamento; una fonte del settore ha commentato che uno dei primi 20 vettori ha valutato i propri beni a bilancio al doppio del valore che presenterebbero a livelli di mercato, in seguito al collasso delle tariffe del mercato del noleggio. Sono questi gli standard che secondo de Trenck dovrebbero essere seguiti dal settore per conseguire profitti. Dichiara infatti: "Molte società sono prossime alla bancarotta, ma lo si capisce subito dai conti".

La CP Ships sembrerebbe sulla strada del progresso in ordine a tale strategia, e questo, unitamente ai suoi risultati notevolmente buoni, potrebbe giustificare la fiducia che gli investitori le hanno dimostrato. Ma, a meno che altri vettori non siano pronti a trarre una lezione dalla sua esperienza, è probabile che il mercato finanziario debba continuare a considerare la CP Ships, come dice Fay, "una grande casa con un brutto vicinato".
