Un'altra fusione nel sistema ferroviario nordamericano?

"Sono sinceramente preoccupato in ordine alle conseguenze di un altro caso di fusione nel settore ferroviario" afferma Don Orris, primo dirigente della Pacer International, fornitore nordamericano di trasporto merci e di logistica. "La proposta della CN (Canadian National Railway) e della BNSF (Burlington Northern Santa Fe) comporterà un'ulteriore aggravio del peggioramento dei servizi. Se le autorità preposte alla regolamentazione del settore non decidessero di fermare immediatamente questa fusione, dovrebbero almeno sospenderla fino a quando il settore non iniziasse a mettere in atto i miglioramenti già promessi" continua.

Questi commenti di Orris sono in linea con l'opinione generale diffusa in gran parte del settore ferroviario nordamericano e presso i suoi clienti. E ad essa si dovrebbe prestare ascolto se non altro perché questo è il punto di vista degli utenti ferroviari che hanno sperimentato il peggioramento dei servizi negli ultimi anni in conseguenza del precedente consolidamento tra ferrovie. "Recentemente abbiamo assistito a tre importanti fusioni, ed ognuna di loro ha comportato i suoi problemi. In particolare, quella della UP/SP (Union Pacific/Southern Pacific) ha seriamente danneggiato il settore" spiega Phillip C. Yeager, presidente e fondatore dell'importante società statunitense di marketing intermodale IMC, appartenente al gruppo Hub.

Continua Yeager: "Subito dopo è arrivato l'accordo della Conrail; anch'esso ha indotto problemi nei servizi, anche se a detta di tutti non a livello della UP/SP, e non dimentichiamoci che ancor prima c'era stato l'accordo tra Burlington Northern e Santa Fe. Ora, peraltro, con la proposta della CN e della BNSF si tratta della più grossa di tutte".

Secondo dati forniti dalla AAR (Associazione Americana delle Ferrovie), notevoli volumi vengono movimentati intermodalmente nell'ambito del Nordamerica ed il totale continua a crescere. Come evidenzia la Tabella 1, in Nordamerica sei ferrovie di prima classe nel corso del 1999 hanno fatto registrare una crescita intermodale, ed alcune di esse in modo assai significativo.

Ad esempio, la CPR (Canadian Pacific Railway), che fa parte del gruppo CP con sede in Canada, ha visto crescere i suoi volumi intermodali del 13,52% nel 1999 allorquando ha movimentato 795.054 trailers e containers. Nel 1998, il dato complessivo è stato di 687.557 unità.

Le cifre relative alla CPR sono al di sopra dell'attuale crescita di mercato. Nel 1999, il mercato intermodale nordamericano è cresciuto del 4,3% con 10.584.784 trailers e containers movimentati, rispetto alle 10.127.073 unità del 1998.

Questi dati mettono in luce come l'intermodalismo sia un settore in crescita sia in Canada che negli Stati Uniti. Sfortunatamente, ciò avviene proprio mentre molti clienti delle ferrovie cominciano ad avere timore. Per dirla in breve, essi hanno la sensazione che l'annuncio da parte della CN e della BNSF sia giunto troppo presto. "Sono un po' sorpreso dal fatto che quest'ultima fusione sia avvenuta così alla svelta. Si dovrebbe rammentare che le fusioni non generano benefici in uno o due anni. Ci vogliono quattro, cinque e persino sei anni perché ciò avvenga. Quanti ne ha visti il settore negli ultimi cinque anni?" si domanda Yeager.

Si tratta di un'opinione condivisa dalle principali ferrovie nordamericane medesime. La NS ha descritto la proposta di combinazione CN/BNSF come "prematura". Afferma la ferrovia citata: "Tutti i più importanti sistemi ferroviari negli ultimi anni hanno intrapreso notevoli iniziative di espansione. La NS ha lavorato duro al fine di consolidare le sinergie, di investire in impianti e servizi, di affinare le proprie operazioni e di migliorare i margini. Un'altra grossa ristrutturazione - mentre il servizio ferroviario del continente sta ancora assorbendo i cambiamenti più recenti - complicherebbe questi sforzi".

Nel frattempo, la UP ha preoccupazioni di diversa natura. "La nostra fonte di preoccupazioni più immediate è rappresentata da come i caricatori ferroviari - che hanno già espresso notevoli riserve in ordine alle future fusioni ferroviarie - considereranno la proposta CN/BNSF. Andremo ad incontrare i nostri clienti al fine di chiedere la loro opinione in merito e di decidere che cosa si può fare per proteggere i loro interessi" conferma la ferrovia.

Tuttavia, non tutti condividono tali opinioni, dal momento che N. K. Balling, direttore generale del marketing societario della OOCL (Orient Overseas Container Line) con sede a Hong Kong spiega: "Non penso che si possa dire che la CN/BNSF arrivi troppo presto dopo le altre fusioni. Non vi è alcun nesso tra loro, tutte le fusioni sono state diverse".

Ma, a prescindere dalla tempestività o meno dell'annuncio, la CN e la BNSF hanno un forte desiderio di combinare le proprie rispettive ferrovie. Esse hanno costituito una società-madre, la North American Railways Inc, che avrà sede a Montreal. Robert D. Krebs, presidente e primo dirigente della BNSF, ne sarà il presidente non esecutivo, mentre Paul M. Tellier, presidente e primo dirigente della CN, assumerà il ruolo di primo dirigente del nuovo organismo. Parlando in senso lato, Tellier sostiene che "nessun momento è sbagliato per addivenire ad un buon consolidamento, proprio come nessun momento è quello giusto per un cattivo consolidamento".

La CN/BNSF, una volta combinata, andrà a generare un sistema ferroviario che si estende per 50.000 miglia di tratte, con 67.000 dipendenti e collegamenti tra caricatori e ricevitori in tutto il Canada ed in 34 stati degli U.S.A. Insieme, queste due ferrovie disporranno di entrate combinate per approssimativamente 12,5 miliardi di dollari USA (18,5 miliardi di dollari canadesi) e di una capitalizzazione di mercato pari a circa 19 miliardi di dollari USA (28 miliardi di dollari canadesi).

Come mostra la Tabella 2, l'organizzazione combinata della CN e della BNSF sarà notevolmente più grande di qualsiasi altra delle ferrovie di prima classe, operando in oltre 80 terminals intermodali sparsi entro tutto il proprio vasto raggio d'azione. Inoltre, in termini di volumi intermodali, stando ai dati forniti dalla AAR, il totale combinato CN/BNSF relativo al 1999 ammonterebbe a 3.691.628 unità. Ciò equivale a poco più del 34% del totale complessivo nordamericano dei trailers e dei containers, pari a 10.584.784 unità.

Dunque, che cosa c'è nella proposta di accordo per i clienti della CN e della BNSF? Secondo le due ferrovie - e questo non sorprende - diversi vantaggi. Tellier afferma che un sistema combinato CN/BNSF potrà offrire ai caricatori nordamericani: opzioni di servizio gestito da una sola linea ancor più ampie e maggiormente efficienti, nonché maggiori opportunità di scelta riguardo alle porte di accesso; un piano di marketing coordinato; la riduzione dei tempi di viaggio; una migliore affidabilità; l'unificazione delle informazioni ai clienti in ordine ai servizi (tracking, tracing ed ordinazioni compresi); la semplificazione della fatturazione; una maggiore capacità in zone soggette ad intasamenti; infine, il miglioramento dell'utilizzazione delle attrezzature. Sarebbe una lista impressionante, nel caso divenisse realtà. Allo stesso tempo, Tellier ha chiarito che nel contesto dell'intero processo di transazione "ciò che importa di più è il caricatore".

Le altre ferrovie di prima classe del Nordamerica, gestite dalla CSXT (CSX Transport, che fa parte della CSX), CPR, NS (Norfolk Southern), ed UP hanno già reagito con particolare riguardo ai caricatori. Tutte insieme, esse hanno inviato una lettera aperta ai clienti delle ferrovie annunciando le proprie "serie preoccupazioni" rispetto al potenziale impatto della fusione CN/BNSF, chiedendo altresì ai caricatori di trasmettere i propri dubbi allo STB (Consiglio Trasporti Terrestri degli Stati Uniti). Lo STB è l'organismo competente in ordine alla regolamentazione che dovrà approvare o meno la nuova unione ferroviaria.

Anche se i caricatori saranno compiaciuti della così alta considerazione in cui sono tenuti nei pensieri della CN e della BNSF, alcuni senza dubbio al momento restano scettici.

Timothy Gartner, direttore dei trasporti societari della Evenflo Co con sede a Piqua nell'Ohio, fornitore a livello mondiale di prodotti per l'infanzia e l'adolescenza, ha alcune riserve. "Queste iniziative sembrano essere il prodotto del nostro ambiente. La crescita vuol dire acquisizioni, che vogliono dire consolidamento, che (in molti casi) vuol dire perdita di posti di lavoro… è un segno dei tempi? Non sono poi così sicuro che questa fusione apporterà vantaggi ai clienti nordamericani, poiché meno soggetti significano meno concorrenza" ha dichiarato.

Un importante caricatore canadese, che è un notevole utente dell'intermodale, è preoccupato dal fatto che quest'ultima proposta possa significare, tra le altre cose, una mancanza di reale concorrenza per il settore. Ha infatti dichiarato (sebbene con richiesta di restare anonimo): "La mia impressione, dal punto di vista del caricatore, è un composito di sentimenti contrastanti. Se la fusione potesse produrre un servizio migliore, ciò sarebbe un bene per i caricatori. La "qualità" del servizio ferroviario in Nordamerica è stata in gran parte responsabile dell'esplosione dell'autotrasporto locale. D'altro lato, una minore concorrenza potrebbe significare prezzi più alti".

Sono opinioni, queste, che la ARC (Alleanza per la Concorrenza Ferroviaria) condivide in pieno. Questo organismo con sede a Washington sta facendo un'intensa attività di lobbying presso il governo federale in merito alla diminuzione della concorrenza nell'ambito del settore ferroviario. Il presidente della ARC, Terry Whiteside, ha dichiarato: "Nell'ultimo decennio, i servizi ferroviari sono peggiorati sempre più ed i costi correlati al trasporto merci hanno continuato a crescere per molti clienti delle ferrovie. Al fine di invertire questa linea di tendenza, occorre realizzare la concorrenza tra ferrovie".

La direttrice esecutiva della ARC, Diane Duff, spiega ulteriormente: "Il 30% circa dei clienti delle ferrovie sono in pratica prigionieri delle proprie ferrovie e devono pagare tariffe esorbitanti per un servizio scarso e sempre peggiore, mentre devono sobbarcarsi in misura sempre maggiore i costi correlati a tale modalità di trasporto. Al momento, vi sono già un sacco di problemi inerenti al servizio nel settore ferroviario. Prima che abbia luogo qualsivoglia fusione o cambiamento, occorre apportare correzioni ai flussi di servizio. Adesso vi è veramente poca concorrenza reale. Se c'è bisogno di accrescere il livello della concorrenza, perché desiderare meno operatori? Nel caso diminuisse il numero delle ferrovie, le opzioni relative alla concorrenza verrebbero meno" sostiene la Duff.

La più grande impresa farmaceutica a livello mondiale, la DuPont, concorda con l'opinione della ARC. Essa spende ogni anno 220 milioni di dollari per movimentare i propri prodotti per ferrovia ed intermodale in Nordamerica e Rich Abel, direttore per la sicurezza della distribuzione ha dichiarato. "La proposta di fusione tra CN e BNSF non è certo la prima fonte di preoccupazione per la DuPont. Ciò che veramente bisognerebbe affrontare è la mancanza di una reale concorrenza".

Sono preoccupati anche i vettori marittimi, che si servono dei servizi intermodali delle ferrovie. Ephraim Alter, vice presidente della Zim Israel Navigation e presidente della Zim Container Service ha dichiarato: "La mia principale preoccupazione è che quando si hanno due giganti come in questo caso, è possibile che la concorrenza e le tariffe diminuiscano. Ma qui sta solo diminuendo la concorrenza".

Peraltro, non tutti ritengono che la fusione tra CN e BNSF possa significare la fine della concorrenza. "A prima vista, questa fusione potrebbe comportare la diminuzione della concorrenza. Tuttavia, sulla base della nostra esperienza maturata nel settore marittimo, bastano solo due o più operatori per far sì che nell'ambito di un traffico vi sia abbastanza concorrenza. Dopo ogni deregolamentazione c'è sempre una falciatura degli operatori più deboli, di modo che devo supporre che qui le cose non stiano diversamente" azzarda Balling della OOCL.

James J. Valentine, importante consulente in materia di trasporto della Morgan Stanley Dean Witter, avanza un'altra ipotesi ancora: "La questione non è tanto il fatto che la proposta di accordo CN/BNSF sia anticoncorrenziale; il problema piuttosto è che non si realizzeranno utili relativi alle partecipazioni azionarie a causa degli incubi scaturiti dai precedenti consolidamenti".

Tuttavia, per poter essere implementata, la fusione dovrà riuscire ad ottenere l'approvazione da parte dell'organismo di controllo, e precisamente lo STB. Nel corso del mese di marzo lo STB ha tenuto una serie di udienze pubbliche in ordine ai principali consolidamenti ferroviari ed alla struttura presente e futura del settore ferroviario nordamericano. Il consiglio in questione ha confermato di avere ricevuto più di 160 richieste da parte di soggetti che desideravano prendere parte alle riunioni.

Uno degli organismi che ne avevano fatto richiesta allo STB è l'Autorità Portuale di New York/New Jersey. Donald H. Lotz, direttore dell'unità sviluppo intermodale nell'ambito della divisione sviluppo programmi ed infrastrutture del dipartimento commerciale del porto illustra il concetto: "La nostra posizione è simile a quella di molti altri. La nostra principale preoccupazione è che l'accordo CN/BNSF possa ingenerare tutta una serie di altre fusioni. Al momento attuale, è prematuro dare corso ad altre iniziative del genere fino a quando almeno la situazione della Conrail non sia stata chiarita".

Orris della Pacer concorda. "Qualsiasi altro peggioramento del servizio potrebbe comportare seri danni al prodotto intermodale, portando alla conseguenza dell'immissione di altre merci sulle autostrade. Ciò, a sua volta, vuol dire costi aggiuntivi per autisti e carburante, maggiore intasamento, maggiore inquinamento, costruzione di altre autostrade. E' inequivocabilmente nell'interesse del paese riuscire ad espandere la capacità intermodale, e non peggiorarla" sostiene.

Gartner della Evenflo riecheggia il pensiero di Orris: "La mia critica principale riguarda la carenza di finanziamenti pubblici. Spendiamo decine di milioni di dollari per i nostri sistemi autostradali, ma quasi nulla per supportare la costruzione di nuove reti ferroviarie".

Tuttavia, come fa notare giustamente Lotz di New York/New Jersey, la CN e la BNSF non hanno ancora presentato alcuna richiesta formale di approvazione allo STB. "Pertanto, nessuno ha in realtà ancora potuto vedere la proposta di piano operativo ovvero le modalità in cui essi intendono lavorare" aggiunge.

La richiesta formale di approvazione da parte della CN/BNSF era prevista allo STB "più o meno dopo il 20 marzo 2000", e si pensava che i primi di aprile fossero il momento buono. Inoltre, entrambe le ferrovie desidererebbero un periodo di tempo di 365 giorni per completare la fusione, mentre la necessaria approvazione dovrebbe pervenire e la transazione dovrebbe essere ultimata alla metà del 2001.

Riguardo alle probabilità che lo STB approvi la proposta di combinazione, Theodore Prince, vice presidente anziano delle vendite e del marketing della Kleinschmidt Inc, un fornitore di commercio elettronico, suggerisce un possibile esito a breve termine: "Se lo STB si attenesse alla propria attuale metodologia, non vi sarebbe nulla che potrebbe impedire la concessione dell'approvazione. Tuttavia, esso potrebbe cambiare le regole al fine di cercare una tattica dilatoria. Una volta ricevuta la richiesta formale, esso potrebbe decidere che certe parti specifiche abbiano bisogno di ulteriore perfezionamento".

Come accade anche ai clienti delle ferrovie, essi sembrano voler adottare un approccio del tipo "stai a vedere che cosa succede" prima di esprimere ulteriori commenti. "Vogliamo vedere che cosa si dice e regolarci di conseguenza" conferma Yeager della Hub.

Balling della OOCL concorda. "E' prematuro in questo momento esprimere giudizi in ordine a questo argomento" ha dichiarato, pur avvisando: "Il livello di resistenza in questo settore rispetto alla transazione in questione è certamente notevole, e di questo bisogna pur tenere conto quando ci si regola in attesa dell'approvazione da parte dello STB".

Anche la Hapag-Lloyd Container Linie adotta un atteggiamento simile. Gunther Casjens, dirigente in capo dell'operatore con sede ad Amburgo ha dichiarato di "voler osservando gli sviluppi" prima di commentare ulteriormente.

La MPA (Autorità Portuale di Montreal) ha anch'essa ammesso di non avere ancora "completamente analizzato" la combinazione proposta, sebbene essa in via generale consideri vantaggiose per il porto le iniziative sia della CN che della CPR.

A dispetto delle opinioni della MPA, se l'accordo venisse approvato Halifax, che è il concorrente di Montreal, trarrebbe vantaggio da esso, secondo Prince della Kleinschmidt: "La proposta della CN/BNSF significa veramente qualcosa per i nostri porti. Si prendano ad esempio Halifax e Vancouver: essa sarà una grande notizia per Halifax, dato che questo porto sarà pienamente integrato nel Nordamerica e, come tale, inserito nel mondo. Chi movimenterà carichi alla volta di Halifax, sarà in grado di andare nel resto del mondo. Per Vancouver, la storia sarà diversa. Esso è cresciuto molto alla svelta ed è diventato un serio concorrente di Seattle e Tacoma attraverso un aggressiva politica tariffaria da parte della CN. Ma, nella nuova era, la CN e Vancouver dovranno competere con la BNSF ed i porti del Pacifico nord-occidentale. Quindi, la CN e la BNSF dovranno effettivamente competere tra loro. Lo vorranno?".

Balling della OOCL spera che l'unione CN/BNSF non abbia questo effetto. "Abbiamo sempre dato grande importanza a Vancouver quale varco d'accesso portuale al transpacifico nonché quale centro di snodo intermodale. Noi speriamo che la fusione possa migliorarne l'efficacia" ha confermato.

Anche Alter della Zim dimostra particolare interesse per i risultati della fusione, dal momento che la CN è il principale movimentatore di carichi di questo vettore marittimo. "La nuova società congiunta potrebbe fornirci migliori opportunità di servizio ed una maggiore copertura. L'arrivo della BNSF potrebbe apportare una migliore copertura geografica, sebbene questo ci procuri delle preoccupazioni circa il fatto che i nostri carichi debbano passare da una ferrovia all'altra per conseguire tale risultato" ha spiegato.

Riguardo a tale argomento, Duff della ARC solleva un'altra questione che con tutta probabilità allarmerà tutti i clienti della CN e della BNSF. "Le notevoli dimensioni del proposto sistema CN/BNSF potrebbero comportare combinazioni difficili da conseguire senza una interruzione del servizio. Tutti e due i soggetti della fusione nel recente passato ci hanno assicurato che il loro accordo non avrebbe comportato alcuna interruzione, mentre avrebbe migliorato l'efficienza. In ordine a molte situazioni, le promesse di miglioramento del servizio e di incremento dell'efficienza devono ancora essere mantenute" sostiene.

Duff quindi fa un ulteriore passo avanti: "A prescindere dall'esito di questa fusione, il dado è tratto. E' chiaro che il settore ferroviario si trova su un sentiero che condurrà i clienti delle ferrovie ad un sistema composto da due soli importanti monopoli ferroviari in Nordamerica".

Yeager della Hub è d'accordo. "Ci saranno altre fusioni. La proposta della CN e della BNSF scuoterà le ferrovie transcontinentali. Gli altri operatori non si rassegneranno a restare indietro senza far nulla".

Orris è sulla stessa linea di Yeager. "Mi aspetto che le altre ferrovie logicamente rispondano agli svantaggi commerciali ed economici che si troveranno a fronteggiare richiedendo l'approvazione di contro-consolidamenti" prevede.

Sia Lotz di New York/New Jersey che Prince della Kleinschmidt hanno sottolineato l'inevitabilità del processo in atto in Nordamerica. "Ci stiamo avviando ad un risultato finale consistente in un sistema transcontinentale. Sappiamo che ciò accadrà, ma chi si alleerà con chi, non si sa" ha detto Lotz. Aggiunge Prince: "Se questo accordo dovesse avere successo, le altre quattro ferrovie (CSX, CPR, NS ed UP) mireranno a consolidarsi. In effetti, si arriverà ad avere solo due ferrovie. Dopo l'accordo Conrail le ferrovie orientali avevano sperato - e si aspettavano - di essere in una buona posizione, tanto forse da poter acquisire una ferrovia occidentale. Ora questo non potrà più avvenire".

Valentine della Morgan Stanley non considera le preoccupazioni degli utenti ferroviari in ordine alle implicazioni potenzialmente anticoncorrenziali dei sistemi transcontinentali quali vere ragioni della loro diffidenza e commenta: "Le ferrovie transcontinentali non rappresentano un timore. Ciò che preoccupa i clienti delle ferrovie sono gli ulteriori consolidamenti che non comporteranno migliori utili derivanti dalle partecipazioni azionarie o un migliore servizio".

Vi sono pochi dubbi circa il fatto che la CN e la BNSF alla fine porteranno a termine la loro integrazione, come riflette Yeager della Hub: "La CN e la BNSF possono farlo: stanno effettuando le connessioni appropriate.
