B. - La politique commerciale et tarifaire

1' Les missions des ports autonomes

Faute souvent d’autres professionnels des activit's portuaires suffisamment forts, le port autonome se retrouve de facto dans un r'le d’animateur de sa place portuaire et exer'e de ce fait des missions 'trang'res ' sa sp'cialit' d’'tablissement public. Ainsi, la politique commerciale des ports autonomes manque de fondement r'glementaire solide : au sens strict, le code des ports maritimes (35) pourrait, en effet, 'tre interpr't' comme donnant au port la seule mission de fournir une infrastructure d’outillage, sans se pr'occuper du trafic trait'.

Cette l'gitimit' incertaine de la politique commerciale peut expliquer les h'sitations dont elle a fait l’objet dans certains ports. Ainsi, ' Rouen, l’activit' commerciale a 't' confi'e en 1991 ' un simple service d'pendant du directeur de l’exploitation du port ; puis ce service a repris le statut de direction au sein de l’'tablissement en juillet 1994, apr's le recrutement d’un nouveau directeur commercial issu des professions de l’armement.

Il para't effectivement peu justifi' qu’un port autonome prenne seul en charge la promotion commerciale d’une place portuaire. Cette situation risque en effet de le transformer en simple financeur de la politique commerciale des autres acteurs portuaires. Ainsi, ' Dunkerque, le port a mis ' disposition de certaines entreprises transitaires des cadres commerciaux r'mun'r's par l’'tablissement. L’espoir qu’en cas de succ's, le consignataire embauche l’attach' commercial d'tach', ne s’est pas confirm' jusqu’ici. En outre, cette mise ' disposition de personnel ne rel've pas directement de la mission de l’'tablissement public portuaire.

En revanche, la cr'ation d’outils de gestion commune de la politique commerciale portuaire avec les autres acteurs de la place, sous forme d’associations ou de groupement d’int'r't 'conomique, pr'sente l’int'r't de responsabiliser ces acteurs, tout en partageant des co'ts croissants.

Le recours ' ce type de structure suppose cependant qu’au pr'alable, les charges respectives soient clairement r'parties entre les membres de l’association. Une telle r'partition est par exemple pr'vue par les statuts de l’association " Marseille Europort ", cr''e en 1993 par le port, la chambre de commerce et d’industrie (CCIMP) et l’union maritime et fluviale de Marseille, qui a pour objet de coordonner des 'tudes prospectives et des d'marches commerciales, la communication interne aupr's de la communaut' portuaire et externe vers la client'le du port et la promotion de Marseille-Fos sur les march's nationaux et internationaux. Toutefois, les d'penses de promotion d'cid'es par l’association ne sont pas prises en charge par celle-ci mais directement par ses membres. La Cour a constat' que cette prise en charge se fait selon des cl's de r'partition pr'vues par les statuts, mais dans des conditions qui ne permettent qu’a posteriori au port autonome de s’assurer pr'cis'ment du montant et de la validit' des cr'ances de l’association ou des autres membres ' son 'gard. Dans le plan de pilotage de juillet 1998, le port autonome a d’ailleurs estim' n'cessaire de clarifier ce type de partenariat avec la CCIMP et les professionnels portuaires.

2' La gestion des tarifs dans le cadre de la politique de concurrence

a) Les travaux communautaires relatifs ' la tarification

La Commission europ'enne s’est int'ress'e r'cemment ' deux reprises ' la tarification des infrastructures portuaires. Elle a ainsi 'labor' un " livre vert " relatif aux ports et aux infrastructures maritimes, pr'sent' en d'cembre 1997, et un " livre blanc " pr'sent' en juillet 1998 et intitul' " Des redevances 'quitables pour l’utilisation des infrastructures : une approche par 'tapes pour l’'tablissement d’un cadre commun en mati're de tarification des infrastructures de transport dans l’Union europ'enne ".

En outre, elle pr'voit d’inventorier les principes de tarification et les syst'mes de financement des principaux ports communautaires. Compte tenu de l’opacit' des comptes et des syst'mes de financement des ports du B'n'lux, les ports fran'ais ont tout ' gagner ' ce que ces sujets soient 'tudi's avec pr'cision.

En ce qui concerne le financement des infrastructures portuaires, la Commission n’avait jusqu’' pr'sent pas consid'r' leur financement public comme une aide d’Etat, devant 'tre d'clar'e et autoris'e par la Commission. Elle consid're d'sormais qu’une approche diff'rente est souhaitable, compte tenu du caract're essentiellement commercial des activit's des ports, du r'le croissant jou' par le secteur priv' et de la forte concurrence dans le secteur. Elle estime donc que les tarifs des infrastructures portuaires doivent 'tre fix's de telle sorte que les utilisateurs supportent les co'ts r'els des services et installations portuaires. Une proposition de directive en fixerait les principes.

Cette r'orientation correspond notamment au souhait de limiter les risques de surcapacit' des infrastructures portuaires. La Commission cite ainsi une 'tude r'alis'e en 1997 (The european container market - prospects to 2008, Ocean Shipping Consultans) selon laquelle, dans six grands ports compris entre Le Havre et Hambourg, des augmentations substantielles de capacit' pour les installations ' conteneurs sont pr'vues. Il faut s’attendre en cons'quence ' un accroissement global de 43 % au cours des six prochaines ann'es, ce qui 'quivaut ' une progression annuelle de 6 %. D’apr's les sc'narios relatifs ' l’avenir de la demande de trafic, la surcapacit' devrait atteindre entre 20 % et 40 % en l’an 2000.

Cette situation est d’autant plus pr'occupante qu’en France, l’outillage public, g'r' par les ports, constitue une activit' largement d'ficitaire (cf. infra). Une tarification au co't r'el constituerait une vive incitation ' restructurer l’organisation interne des ports fran'ais ou, dans les grands ports, ' d'l'guer au secteur priv' la gestion de l’outillage public. Or il n’est pas s'r que toutes les entreprises de manutention fran'aises soient actuellement pr'tes ' assumer cette gestion et ' supporter les investissements n'cessaires.

b) Les risques en mati're de concurrence

La politique commerciale des ports est confront'e aux risques de concurrence d'loyale, tant entre ports fran'ais qu’entre ports europ'ens. En effet, les r'gles communautaires relatives aux aides d’Etat ou aux abus de position dominante, les r'gles de concurrence pos'es par l’ordonnance du 1er d'cembre 1986, ainsi que le principe d’'galit' des usagers du service public peuvent n’'tre pas respect's.

Les diff'rents types d’aides commerciales

Les aides commerciales rev'tent plusieurs formes.

Les 'tablissements portuaires accordent souvent des aides indirectes ' leurs clients, en particulier aux entreprises de manutention et de r'paration navale : ils s’abstiennent en effet de proc'der au recouvrement de cr'ances importantes. Or le non recouvrement volontaire de cr'ances a 't' consid'r' par la commission europ'enne comme une aide d’Etat, de nature ' fausser la concurrence entre les ports et contraire aux articles 92 et 93 du trait' de l’Union europ'enne.

Cela a 't' notamment le cas pour ce qui concerne les ports de Marseille et de Dunkerque, d'tenteurs de cr'ances ' la fin 1997 de plus de 20 MF sur un seul manutentionnaire, respectivement Somotrans (21 MF) et Barra (29 MF), par suite d’arri'r's de paiement 'lev's.

En mati're de r'paration navale, les ports consentent aussi des efforts importants alors que cette activit' est, ' l’'chelle nationale, en crise profonde. Le port autonome de Marseille, depuis 1987, r'duit de 50 % ses tarifs de location de formes de radoub, tout en r'alisant des travaux co'teux sur les installations mises ' disposition, tant en investissement, soit 40 MF de 1993 ' 1995, qu’en entretien, soit 10 MF sur la m'me p'riode. Au total, le d'ficit net analytique cumul' de la r'paration navale du port de 1990 ' 1994 s’'l've ' 290 MF. A la fin 1997, les cr'ances des ports autonomes ' l’'gard des entreprises de r'paration navale CMR, Sud Marine et Euronavale s’'levaient respectivement ' 13,8 MF pour Marseille et 1,7 MF pour Nantes-Saint-Nazaire, dont 10 MF correspondent ' des cr'ances ' risques.

Les aides plus directes accord'es aux entreprises, par le biais du niveau des tarifs ou par celui des ristournes pratiqu'es sur les redevances per'ues par les ports, sont aussi courantes.

Le cas particulier des ristournes sur droits de port

S’agissant de la taxe sur les passagers, seul droit de port constituant un pr'l'vement de nature fiscale, le manque de transparence des comptes des concessionnaires ne permet pas de d'terminer avec certitude si des ristournes ont effectivement 't' imput'es sur cette taxe. Toutefois, la Cour a constat' dans les cas de Saint Malo et de Calais que les produits pris en compte pour le calcul des ristournes pouvaient inclure la taxe sur les passagers.

S’agissant des droits de port, qualifi's juridiquement de r'mun'ration pour service rendu, les tarifs fix's doivent 'tre en rapport avec le service effectivement rendu par l’'tablissement. Tel n’est pas toujours le cas : une compensation entre activit's et sites au sein d’un m'me port est fr'quemment pratiqu'e, ce qui suscite l’opposition de certains usagers tels que les importateurs d’hydrocarbures. L’absence d’instruments fiables et suffisamment fins de comptabilit' analytique ne simplifie pas le probl'me car elle emp'che de cerner compl'tement le co't des services rendus. Or une sous-tarification au b'n'fice de certaines entreprises pourrait 'tre qualifi'e d’ " aide d’Etat ", tandis qu’une surtarification au d'triment de certains usagers pourrait correspondre ' un abus de position dominante de la part du port. Certes, une 'volution ' la baisse des tarifs est observ'e, m'me en ce qui concerne les trafics dits " captifs " (industrie p'troli're, sid'rurgie). Mais il semble que les ports et leur tutelle devraient acc'l'rer cette tendance. Cette vigilance est rendue d’autant plus n'cessaire que la commission europ'enne s’int'resse de plus pr's au respect des r'gles de concurrence dans le secteur portuaire et insiste sur le lien entre le service rendu aux usagers et la tarification des outillages.

De surcro't, les modalit's de d'cision d’octroi de ces aides commerciales contreviennent souvent aux dispositions du code des ports maritimes, qui encadrent strictement la proc'dure de fixation des tarifs portuaires.

Ainsi, ' Dunkerque, o' elles ont pris un caract're permanent et ont atteint un montant global 'lev' sur la p'riode 1991-1995 (plus de 70 MF dont 25 MF en 1995), les ristournes r'sultent soit de conventions avec les seuls usagers concern's, soit de d'cisions unilat'rales du directeur du port, 'ventuellement soumises ' la commission du fonds de promotion commerciale.

Or les droits de port " qui trouvent leur contrepartie dans l'utilisation de l'ouvrage public et dans les prestations qui sont fournies ' cette occasion ont le caract're de redevances pour service rendu "(d'cision n' 76-92 L du 6 octobre 1976 du Conseil constitutionnel). La comp'tence du port en cette mati're est de ce fait strictement encadr'e ; en particulier, la facult' d’accorder des ristournes est limit'e par de nombreuses restrictions de principe, r'sultant du code des ports maritimes, du principe d’'galit' des usagers devant le service public et du droit de la concurrence.

Le code des ports maritimes d'finit les conditions de fixation du tarif g'n'ral : les taux des taxes et redevances, ' l'exclusion du taux de la taxe sur les passagers, sont arr't's par le conseil d'administration des ports autonomes (article R. 211-2), apr's avis de la commission permanente d'enqu'te. La ma'trise des droits de port ne revient donc pas aux services du port. D'autre part, les r'ductions de tarifs sont elles-m'mes express'ment encadr'es par le m'me code de fa'on ' ne correspondre qu’' des diff'rences portant sur le service rendu par le port. Du fait de ces dispositions r'glementaires, les r'ductions de droits de port 'ventuellement accord'es doivent donc r'pondre ' des conditions pr'cises et r'sulter exclusivement du tarif adopt' par le conseil d'administration.

Dans l’'tat actuel des textes, les ristournes sur droits de port telles qu’elles sont pratiqu'es par les ports, en particulier celui de Dunkerque, contreviennent donc aux r'gles fix'es par le code des ports maritimes. Mais il peut para'tre anormal, compte tenu de la nature industrielle et commerciale d’une partie des activit's de l’'tablissement et surtout des pratiques des ports concurrents, que le code des ports maritimes laisse en droit si peu de place ' des ristournes. Il conviendrait probablement de le modifier sur ce point.

En outre, les ristournes ne devraient pas remettre en cause le principe fondamental de l''galit' des usagers devant le service public et le droit de la concurrence.

Il est solidement 'tabli en jurisprudence administrative que " la fixation de tarifs diff'rents applicables, pour un m'me service rendu, ' diverses cat'gories d’usagers d’un service ou d’un ouvrage public, implique, ' moins qu’elle ne soit la cons'quence d’une loi, soit qu’il existe entre les usagers des diff'rences de situation appr'ciables, soit qu’une n'cessit' d’int'r't g'n'ral en rapport avec les conditions d’exploitation du service ou de l’ouvrage commande cette mesure " (Conseil d’Etat, 10 mai 1974, Sieurs Denoyez et Chorques). Lorsque le tarif g'n'ral pr'voit des r'ductions en fonction de l’importance ou de la fr'quence des escales, on peut consid'rer que la fixation de tarifs diff'rents r'sulte de diff'rences de situation appr'ciables. En revanche, les ristournes accord'es unilat'ralement ' un usager du port par une convention contreviennent au principe de l’'galit' des usagers devant le service public.

Mais le plus grave sur le plan 'conomique demeure que les b'n'fices obtenus en retour gr'ce aux ristournes accord'es ne soient pas 'valu's.

Ainsi, au port autonome de Dunkerque, compte tenu de l'importance de l'activit' transmanche pour le port (51 MF, soit 12 % des recettes totales du port en 1992). et des difficult's financi'res de l’op'rateur Sally, plusieurs soutiens successifs ont 't' d'cid's : un soutien de "caract're exceptionnel" en mars 1993, consistant en une r'duction de 0,4 MF hors taxes ' valoir sur le montant des factures relatives au contrat d'amodiation couvrant l'ann'e 1993 ; puis, en juillet 1993, une contribution du port de un million de francs ' une campagne de promotion de la ligne Ramsgate-Dunkerque aupr's des Britanniques. D'but 1995, le soutien du port, de moins en moins exceptionnel, s'est traduit par une convention triennale, aux termes de laquelle la compagnie s'engageait ' maintenir son service actuel pour trois ans (1995-1997) en 'change d'une ristourne de 50 % des droits de port navire, ristourne accrue en cas d'augmentation du volume taxable et dont l’incidence financi're est estim'e ' 5,7 MF en ann'e pleine. En cas d'arr't de la ligne Dunkerque-Ramsgate par Sally, la convention pr'voyait le remboursement int'gral des ristournes pay'es annuellement depuis son application. Enfin, d'but 1996, le port a propos' ' Sally de r'duire pour 1996 de 50 % les charges li'es ' la convention d'occupation du terminal, soit un co't de 915 000 F, et de prendre en charge une partie de la campagne de publicit' de Sally pour un co't de 250 000 F. Au total, les aides accord'es en 1996 s''l'vent ' pr's de 7 MF pour la seule compagnie Sally, soit 22 % du chiffre d’affaires g'n'r'. Or, malgr' ces aides successives et croissantes, Sally a abandonn' le fret. Il convient donc que les ristournes obtenues soient rembours'es.

Pour retrouver un fondement 'conomique et juridique plus justifi', la politique tarifaire des ports autonomes devrait donc 'voluer dans le sens :

- d’une ad'quation progressive des tarifs avec les prix de revient des prestations fournies, ce qui requiert une r'elle et meilleure utilisation de la comptabilit' analytique ;

- d’une r'int'gration des ristournes de caract're permanent dans les tarifs des ports ;

- d’une 'valuation r'guli're par les conseils d’administration de l’efficacit' et de l’efficience des ristournes r'siduelles qui seraient pratiqu'es.

La modification des pratiques en vigueur devrait 'tre accompagn'e d’une r'flexion de fond des tutelles sur l’inad'quation du cadre juridique fran'ais au contexte 'conomique dans lequel 'voluent les 'tablissements portuaires.

En outre, la Commission europ'enne peut jouer un r'le essentiel gr'ce au recensement des pratiques des autres ports europ'ens. L’Etat fran'ais devrait donc lui apporter tout son soutien, afin d’obtenir que les autres ports europ'ens exercent eux aussi leur activit' dans des conditions de concurrence loyale.

c) L’absence de r'flexion juridique et d’'valuation au niveau national

Face ' ces pratiques commerciales, l’encadrement des organes de d'cision des ports parait faible : la tutelle n’est jamais intervenue en la mati're. Les conseils d’administration d'l'guent quant ' eux leur comp'tence sur ce point au directeur sans exiger en retour la moindre 'valuation des retours de trafic attendus.

Or le montant des ristournes consenties s’est accru au cours des ann'es quatre-vingt dix dans certains ports. Il repr'sentait 29,6 MF soit 3,7 % du chiffre d’affaires au port autonome du Havre en 1995, ou 24,8 MF soit 5,8 % du chiffre d’affaires du port autonome de Dunkerque en 1996. Cette croissance, qui r'pond pour une part au nouveau contexte concurrentiel, m'rite attention.

En r'ponse ' la Cour, la direction charg'e des ports indiquait en novembre 1997, ' propos des aides commerciales directes et indirectes, qu’il s’agissait d’un " vrai probl'me de fond qui appelle, par ailleurs, une clarification et un encadrement des interventions des ports " et qu’" il a 't' demand' aux commissaires du gouvernement de proc'der ' une 'valuation pr'cise des pratiques en vigueur dans chacun des ports autonomes maritimes. Sur la base de cette 'valuation, des mesures seront arr't'es en concertation avec les responsables portuaires ". Aucune suite concr'te n’a 't' donn'e ' ce jour ' cette d'claration. Dans une r'ponse ult'rieure de janvier 1999, la DTMPL se contente, en effet, d’annoncer qu’elle a engag' une r'flexion sur les droits de port, taxes d’usage et d’outillages, redevances domaniales ".

De son c't', le minist're de l’'conomie et des finances a reconnu au d'but de 1999 que cette situation n’'tait pas satisfaisante et qu’un r''quilibrage tarifaire devrait 'tre rapidement engag'.

Recommandations

- d'velopper la cr'ation d’outils de gestion commune de la politique commerciale portuaire, en posant comme condition pr'alable une r'partition claire des charges respectives ;
- veiller au recouvrement des cr'ances des ports sur les entreprises de manutention ;
- engager et faire aboutir une r'flexion d’ensemble sur le cadre juridique r'gissant les droits de port, les taxes d’usage et d’outillages et les redevances domaniales ; adapter le cadre juridique de l’action commerciale des ports au contexte 'conomique de fa'on ' permettre d’effectuer des ristournes, dans le respect des principes g'n'raux du service public et du droit de la concurrence.
