C. - La gestion de l’outillage

1' Le co't et l’absence d’unit' de la gestion de l’outillage portuaire

a) Le co't de la gestion de l’outillage

L’activit' d’outillage public est lourdement d'ficitaire dans l’ensemble des ports fran'ais. Le taux de couverture des co'ts de l’ensemble des engins de manutention 'tait ainsi de 55 % au port autonome de Rouen en 1994 et de 53 % en 1992 au port autonome du Havre. Il varie n'anmoins selon les trafics : pour l’activit' d’outillage en mati're de conteneurs, ce taux de couverture est pass' au Havre de 52 % en 1992 ' 62 % en 1995 et 71 % en 1998.

Les raisons de ce d'ficit de l’outillage public tiennent ' l’importance des charges de structure telles que l’amortissement, l’entretien et exploitation, y compris les frais des personnels grutiers, au sous-emploi de l’outillage et ' une tarification insuffisante. Or ce co't, factur' au manutentionnaire utilisant le personnel grutier et portiqueur et l’outillage du port, est r'percut' par le manutentionnaire ' l’armateur. Ce dernier r'cup're enfin aupr's du chargeur les tarifs (THC ou " Terminal handling charges ") fix's par les conf'rences maritimes qui regroupent les armateurs.

b) Le caract're parcellaire de la gestion

Depuis plusieurs ann'es, on observe au niveau mondial une tendance des grands ports ' constituer des terminaux sp'cialis's pour les trafics les plus importants. Les ports autonomes fran'ais ont suivi la m'me voie qui permet, par des installations adapt'es, de limiter la dur'e des escales maritimes, dont le co't est un des facteurs de comp'titivit' d’un port. Ainsi, les ports distinguent en g'n'ral des terminaux pour les vracs solides, les vracs liquides, les conteneurs et les marchandises diverses. A Rouen, par exemple, l’objectif principal du plan d’investissements 1988-1992 a 't' la cr'ation de terminaux sp'cialis's pour les c'r'ales, les marchandises en sacs (sucres et farines), les vracs liquides (Grand-Quevilly), les conteneurs et marchandises diverses (Grand-Couronne), les vracs solides divers (Grand-Couronne) et les produits forestiers (Honfleur et Rouen-Quevilly).

Cette organisation soul've avec une force accrue la question des modes de gestion des terminaux. Ceux-ci sont, en effet, dans la plupart des cas des terminaux publics, dot's d’un outillage appartenant au port autonome mais utilis' par des op'rateurs portuaires priv's. Le personnel du port autonome fait fonctionner l’outillage, mais au profit de manutentionnaires qui en paient l’utilisation. Il en r'sulte un 'clatement des responsabilit's entre le port, les manutentionnaires utilisateurs de l’outillage public et les entreprises de stockage et de distribution. Les ports fran'ais souffrent de cette absence d’unit' de gestion des activit's de chacun de leurs terminaux, qui contraste avec l’organisation unifi'e des terminaux dont b'n'ficient les clients d’autres ports europ'ens.

2' Les exp'riences d’unit' de gestion

a) Les outillages priv's

Certains terminaux sont enti'rement priv's, en dehors du bord ' quai qui appartient au domaine public maritime, sur lequel des quais priv's ont 't' construits. C’est le cas des terminaux de vracs solides appartenant ' Sollac, ' Marseille-Fos et ' Dunkerque. L’int'gration des fonctions du terminal est compl'te puisque ce dernier qui appartient ' la soci't' est exploit' par des soci't's de manutention du groupe, comme Somarsid ' Fos.

Quelques entreprises de manutention, peu nombreuses, poss'dent donc d'j' leur propre outillage priv', ce qui assure une meilleure unit' de gestion d’un terminal. A Rouen, pour le terminal sucrier et les silos c'r'aliers, 20 % des heures de conduite des outillages concernent des installations priv'es. Mais l’enqu'te sur la r'forme de la manutention confirme que peu d’entreprises de ce secteur sont pr'tes ' investir pour poss'der leur propre outil industriel, ce qui risque ' terme d’accentuer le d'calage avec les ports concurrents.

D’un outillage ' l’autre, on constate qu’il n’existe aucune similitude dans les modes d’exploitation et de maintenance. Pour l’exploitation, les grutiers des ports autonomes ont parfois obtenu d’effectuer la conduite de certains outillages priv's. Ainsi, ' Nantes-St Nazaire, alors que le silo de Saint-Nazaire fonctionne sans personnel du port autonome, la conduite du silo de Nantes ou de la " sauterelle " de Saga est effectu'e par des grutiers du port. Les travaux de maintenance sont effectu's par les personnels du port.

b) Les outillages publics

L’int'gration de l’outillage public dans les entreprises de manutention, qui permettrait de mieux ma'triser le trafic trait', est encore peu avanc'e en France. Pourtant, selon l’Union des ports autonomes et des chambres de commerce et d’industrie maritimes (UPACCIM), l’importance et la relative stabilit' du march' devrait permettre l’'mergence d’op'rateurs de taille suffisante pour g'rer l’outillage dans les plus grands des ports autonomes tels que Marseille, Le Havre, Dunkerque ou Rouen, au moins pour certains types de trafic.

Les exp'riences engag'es

Le principal projet d’int'gration de l’outillage public dans les entreprises de manutention est celui du port autonome de Dunkerque. Toutefois, l’Etat et le port autonome n’ont pas r'ellement pris les moyens et les pr'cautions juridiques n'cessaires pour le faire aboutir.

A Dunkerque, chaque terminal est un centre de profits dont l''quilibre financier devrait permettre, ' terme, d'asseoir le d'veloppement principalement ' partir de ses propres ressources. A court terme, le port a choisi de passer des contrats d'exploitation des terminaux avec les manutentionnaires. L'objectif vis' - ' moyen terme - est de mettre en place un op'rateur unique par terminal : le projet d'op'rateur unique au quai ' pond'reux Ouest (QPO) devait en 'tre l'exemple.

Les contrats d'exploitation correspondent ' une autorisation d’occupation temporaire du domaine public, et pr'cisent les modalit's d'intervention du personnel du port autonome, les conditions financi'res 'tablies sur la base d'un objectif de trafic, les nouveaux investissements ' r'aliser et la dur'e du contrat. La "charte pour la modernisation du port de Dunkerque" pr'voyait que les entreprises disposaient d'un droit de priorit' pour l'exploitation d'un terminal d'une dur'e de cinq ans ' compter du 15 juillet 1992, en raison de leur contribution au plan social. Ce droit ne devait pas permettre "la cr'ation d'une position abusive, notamment par des prix de vente hors march' ou une insuffisante r'percussion des gains de productivit'".

D's 1993, les repr'sentants de l'Etat au conseil d’administration ont insist' pour que cette politique d'exploitation des terminaux pr'serve la concurrence au moment du choix de l'op'rateur et comporte un contr'le de l'efficacit' de la formule. Il convenait notamment de pr'voir la possibilit' de r'silier le contrat sans indemnit' si les objectifs d'finis en mati're de trafic n''taient pas atteints. Malgr' ces r'serves, les services du port n'ont pas apport' de modifications aux contrats d'exploitation des terminaux d'j' sign's. Les objectifs fix's aux entreprises de manutention n'ont pas non plus fait l'objet d'un suivi r'gulier pr'sent' au conseil d'administration. Enfin, il convient de souligner que le droit de priorit' r'serv' aux entreprises signataires de l'accord social de 1992 devait prendre fin en juillet 1997 : il importe qu'' l’avenir toutes dispositions soient prises pour assurer une mise en concurrence effective des op'rateurs. Ces premi'res exp'riences r'v'lent le manque d’attention port'e par les services du port aux aspects juridiques de ces projets.

Le projet du QPO a connu les m'mes lacunes. Malgr' la complexit' de ce projet (cf. encadr'), 'voqu' en conseil d'administration d's d'cembre 1992, sa faisabilit' juridique n'a 't' abord'e en conseil d'administration qu'en 1995 par un repr'sentant de l'Etat.

Le projet d’op'rateur unique du quai ' pond'reux Ouest (QPO) de Dunkerque

Le r'sultat du QPO est d'ficitaire de 40 ' 50 MF en moyenne annuelle du fait d’investissements surdimensionn's par rapport au niveau de l’activit'. Dans ce contexte, le port autonome de Dunkerque a 'labor' un projet de cr'ation d'une soci't' commune pour l'exploitation du QPO, pour r'pondre ' une demande de la client'le souhaitant avoir un seul interlocuteur, permettre de r'aliser des investissements de capacit' n'cessaires et optimiser les co'ts d’exploitation et d’investissement.

Dans sa version de juin 1995, ce projet pr'voit l’association du port autonome et du groupe de manutention SAGA pendant quatre ans dans une soci't' g'r'e par la SOMABAMI (Soci't' de manutention des bassins min'raliers), filiale du groupe SAGA. B'n'fices et pertes devaient 'tre r'partis sur la base de 30 % pour le port autonome et 70 % pour la soci't' SAGA. A l’issue de cette p'riode, soit le port autonome obtient l’autorisation d’entrer dans le capital de la SOMABAMI et cette derni're devient l’op'rateur unique ; soit, ' d'faut d’autorisation, la soci't' en participation est maintenue comme op'rateur unique du QPO. Les investissements de capacit' ou de productivit' sont r'alis's prioritairement par la SAGA et lou's ' l’op'rateur unique ; les investissements de p'rennisation doivent 'tre autofinanc's par les associ's.

Le personnel du port autonome devrait travailler sous le r'gime de la convention collective de la manutention portuaire du 31 d'cembre 1993. Les contrats de travail seraient transf'r's ' la SOMABAMI, ' moins que l’agent ne demande ' conserver un contrat du port autonome. L’hypoth'se d’une mise ' disposition des salari's aupr's de l’op'rateur unique risque n'anmoins de contrevenir aux dispositions r'servant le pr't de main d’œuvre aux entreprises de travail temporaire (article L. 125-3). En outre, l’application de la convention collective de la manutention portuaire aux salari's qui demeureraient titulaires d’un contrat de travail du port sera d'licate : l’application d’une pluralit' de conventions collectives au sein d’une m'me entreprise est rarement admise.

Le contrat donne aussi la possibilit' au port de r'silier les contrats si le trafic descend au dessous de 2,5 Mt ainsi que celle d’imposer ' la SOMABAMI de filialiser l’activit' du QPO pour permettre sa reprise int'grale par le port autonome, si des divergences strat'giques importantes apparaissent entre le port autonome et son partenaire.

Dans une version de fin 1998, le projet pr'voit d'sormais l’association du port autonome et du groupe SAGA sous forme d’un groupement d’int'r't 'conomique (GIE) d'nomm' " NORVRAC ", dont les parts seraient d'tenues ' hauteur de 60 % par le groupe SAGA et de 40 % par le port autonome.

A aucun moment des n'gociations men'es avec la soci't' de manutention Saga, la direction de l'exploitation du port n'a saisi le service juridique pour avis. Fin 1995, le port n’avait donc pas bien mesur' les enjeux juridiques d’une n'gociation qui avait pourtant commenc' en 1993, et ne comptait pas demander d’autorisation particuli're aux tutelles. Aujourd’hui, alors que celles-ci n’ont toujours pas donn' leur accord, force est de constater que cette imprudence a handicap' la r'ussite du projet.

La signature de ce contrat a pr'cis'ment 't' retard'e par la tutelle en raison des probl'mes juridiques concernant, d'une part, la mise en concurrence pr'alable au contrat et, d'autre part, la pr'servation des int'r'ts du port, en particulier quant ' la propri't' juridique des investissements. Il convient 'galement d'observer que, dans la lettre d'approbation de l'EPRD pour 1995, les tutelles ont demand' au port de veiller ' ce que la modification du p'rim'tre comptable du port induite par le projet du QPO n’entra'ne aucun d's'quilibre du compte d'exploitation ni du bilan, et de rechercher une r'mun'ration des apports de l''tablissement portuaire.

Outre le projet du QPO, un appel d’offres a 't' lanc' en 1997 pour la gestion du terminal ' conteneurs, remport' par l’op'rateur belge Ferry Boats. L’objectif final est, comme pour le QPO, de constituer un op'rateur unique pour int'grer sur le terminal les op'rations de manutention et d’outillage.

Hormis Dunkerque, les progr's limit's constat's pour ce type de projet t'moignent d’une certaine prudence des ports, qui craignent que se constitue un monopole d’entreprise. Ils consid'rent, en effet, que les int'r'ts d’un grand groupe peuvent l’amener ' faire dispara'tre un terminal. Ils 'valuent aussi les difficult's 'conomiques - hausse de la r'mun'ration des grutiers s’ils sont int'gr's dans les entreprises de manutention - et sociales - conflits sociaux communs - qui r'sulteraient d’une plus grande int'gration des diff'rentes cat'gories de personnels. Les entreprises devraient en outre faire pr'alablement la preuve qu’elles ont les moyens d’investir et de g'rer le personnel avec l’encadrement n'cessaire, ce qui est rarement le cas aujourd’hui.

Le port autonome de Marseille 'volue quant ' lui vers un syst'me d’un op'rateur unique de manutention par terminal qui ne comprendrait pas la gestion des outillages : c’est le cas du terminal fruitier TFM, du terminal ' conteneurs de Mourepiane, ou du terminal routier sud (TRS), utilis's chacun par une seule entreprise.

Les questions juridiques soulev'es par l’op'rateur unique

Les questions juridiques pos'es par ces innovations n’ont jusqu’ici pas encore 't' trait'es de mani're approfondie ni par les ports, ni par leur tutelle. Or elles m'riteraient de l’'tre, de fa'on ' conforter une exp'rience int'ressante d’un point de vue 'conomique.

Le dossier de consultation de l’appel d’offres du terminal ' conteneurs de Dunkerque pr'cise bien que selon " la jurisprudence de la Cour de justice des communaut's europ'ennes et en raison de la nature de l’activit' exerc'e par l’op'rateur, celle-ci rev't un caract're exclusivement priv', bien qu’elle s’exerce sur le domaine public maritime ".

La question de savoir s’il n’y pas lieu de consid'rer un tel contrat d’exploitation comme une d'l'gation de service public peut n'anmoins 'tre pos'e.

Le Conseil d’Etat a qualifi' ' deux reprises les op'rations de manutention. Dans ses d'cisions du 23 juin 1939, Chambre syndicale des entrepreneurs arrimeurs de chargements et de d'chargements de navires, et Compagnie maritime de l’Afrique orientale du 5 mai 1944, il a consid'r' que" les op'rations de manutention de marchandises dans les ports maritimes et fluviaux constituent un des 'l'ments du service public ' l’ex'cution duquel le domaine public du port est normalement destin' ". Si les entreprises de manutention portuaire participent donc au fonctionnement du service public portuaire, leur activit' ne constitue pas en elle-m'me un service public d's lors qu’aucune obligation aff'rente ' ce dernier ne leur est impos'e (36). Pour le volet " manutention " des nouveaux contrats d’exploitation envisag's par le port de Dunkerque, on ne peut donc pas consid'rer qu’il y a d'l'gation de service public.

En revanche, pour le volet " outillage public ", dont l’exploitation constitue un service public industriel et commercial, il reste ' d'terminer si le contrat n’est qu’un contrat de location de l’outillage public, ou si le port confie par ce contrat l’exploitation du service public de l’outillage.

Le contenu de certaines clauses, qui peuvent laisser penser que le cocontractant serait charg' de l’exploitation du service, devrait 'tre v'rifi' au cas par cas (37). Plusieurs points sont ' examiner : le cocontractant emploie-t-il les agents charg's de faire fonctionner le service public ? Les usagers n’ont-ils des relations juridiques qu’avec l’entreprise cocontractante, et plus avec le port autonome ? Le contrat laisse-t-il ou non au cocontractant le soin de fixer le r'glement du service en ce qui concerne, notamment, les modalit's de fourniture de la prestation ' l’usager ? Enfin le cocontractant est-il " substantiellement r'mun'r' par les r'sultats de l’exploitation de service " : les recettes de la location de l’outillage public lui reviennent-elles ?

Ces 'l'ments montrent bien que subsistent des difficult's juridiques sur les conditions dans lesquelles un monopole d’exploitation d’un outillage public ou d’un terminal peut 'tre conf'r'. En particulier, l’Etat n’a pas tranch' la question de savoir s’il y aurait lieu de qualifier ces contrats de convention de d'l'gation de service public, avec les obligations y aff'rentes.

Aux Pays-Bas et en Belgique, conc'der la r'alisation et l’exploitation des terminaux sp'cialis's ' un op'rateur unique, diff'rent de l’autorit' portuaire, pousse les usagers ' s’unir car leurs int'r'ts ne se r'duisent pas alors ' la seule question de la redevance d’usage. En outre, l’autorit' portuaire est d'charg'e des contraintes de la gestion quotidienne de terminaux et des suj'tions commerciales qui y sont li'es. Elle peut donc se concentrer sur la r'alisation et l’entretien des infrastructures portuaires, et peser aussi sur les co'ts d’usage demand's aux exploitants.

Il convient de se demander si les ports autonomes ont vocation ' 'tre les op'rateurs des terminaux maritimes et s’il existe en France des entreprises portuaires capables de g'rer l’ensemble d’un terminal. La situation actuelle de certaines entreprises de manutention semble apporter une r'ponse n'gative ' cette question, comme en t'moignent les d'p'ts de bilan, les plans de redressement et le montant des cr'ances d'tenues par les ports autonomes ' l’'gard des manutentionnaires. N'anmoins, les entreprises de manutention tendent ' se concentrer : pr's de la moiti' du chiffre d’affaires de la branche, qui repr'sente environ 4,4 milliards de francs, est r'alis'e par moins de 20 % des entreprises, lesquelles emploient plus des deux tiers de l’effectif total.

Les autres op'rateurs portuaires n’ont pas les moyens d’assumer la charge d’un terminal, depuis sa cr'ation jusqu’' son fonctionnement. Des formules d’investissement mixtes pourraient alors 'tre plus prometteuses

Enfin, l’opportunit' d’appliquer plus largement les r'gles de transparence devrait aussi 'tre examin'e pour les occupations domaniales assorties de participation au service public. C’est en particulier vrai pour les autorisations d’outillage priv' avec obligation de service public (AOPOSP), qui sont d'j' encadr'es (approbation des tarifs d’utilisation par des tiers notamment), mais qui, dans certains ports, repr'sentent une part significative de l’activit' et des trafics, par exemple en mati're p'troli're.

Les investissements mixtes

Certains terminaux r'sultent d’investissements mixtes, comme le terminal fruitier de Marseille. Cr'' par une soci't' de manutention sp'cialis'e dans les primeurs, ce terminal, qui est situ' sur des terrains du port, a 't' n'anmoins financ' pour partie par le port autonome ; cela a 't' notamment le cas de son outillage, alors qu’il aurait pu 'tre consid'r' comme une superstructure que l’investisseur priv' aurait d' prendre en charge.

Au Havre, les portiques ' conteneurs du port rapide ont 't' financ's ' 75 % environ par les entreprises de manutention.

La direction des ports indiquait en novembre 1997 que les infrastructures et l’outillage " devraient faire, ' l’avenir, appel plus massivement que par le pass' ' un financement des op'rateurs priv's. C’est l' meilleure garantie de la rentabilit' 'conomique de ces investissements et la meilleure fa'on de se pr'munir contre tout risque de surinvestissement. Ces principes pourraient 'tre, plus amplement, mis en œuvre dans le cadre de la pr'paration des futurs contrats de plan Etat-r'gion ". Il convient que cette position se concr'tise, en particulier par une participation financi're des op'rateurs priv's.

Il importe surtout que les probl'mes juridiques pos's soient 'tudi's s'rieusement et r'solus le plus rapidement possible afin que les ports europ'ens concurrents ne soient pas les seuls ' b'n'ficier de terminaux g'r's selon des modalit's performantes. Jusqu’ici, les tutelles n’ont pas suffisamment accompagn' le projet d’op'rateur unique au QPO, dont le r'sultat pourrait 'tre d'terminant pour la rentabilit' des terminaux et donc pour la comp'titivit' des ports fran'ais.

La Cour prend acte des possibilit's r'cemment ouvertes par le d'cret du 9 septembre 1999. Un nouvel article R. 115-7.III du code des ports maritimes pr'voit en effet que le port autonome peut conclure avec une entreprise une convention d’exploitation de terminal, portant exclusivement sur la gestion et, le cas 'ch'ant, la r'alisation d’un terminal sp'cifique ' certains types de trafics et comprenant les terre-pleins, les outillages et les am'nagements n'cessaires aux op'rations de d'barquement, d’embarquement, de manutention et de stockage li'es aux navires. Le d'cret pr'cise que le recours ' ce mode de gestion, qui ne peut concerner qu’une partie du domaine portuaire, doit 'tre compatible avec le maintien en nombre suffisant d’outillages publics ou d’outillages priv's avec obligation de service public. La convention, soumise au conseil d’administration et approuv'e par arr't' du ministre charg' des ports maritimes et du ministre charg' du budget, devra notamment fixer les objectifs de trafic du terminal et les sanctions pouvant aller jusqu’' la r'siliation sans indemnit' de la convention, au cas o' ces objectifs ne seraient pas atteints.

Toutefois, la mise en œuvre effective de ce texte implique encore que la convention type pr'vue par cet article soit rapidement approuv'e par d'cret du Conseil d’Etat.

Recommandations

- l’activit' de l’outillage public 'tant d'ficitaire, engager une r'flexion en vue de restructurer l’organisation interne des ports fran'ais ;
- adopter rapidement les textes n'cessaires pour faire aboutir les projets d’op'rateur unique, visant ' int'grer l’activit' d’outillage public dans les entreprises de manutention ; clarifier notamment la question de savoir s’il n’y aurait pas lieu de consid'rer ces futurs contrats d’exploitation comme une d'l'gation de service public ;
- veiller ' ce que les contrats d’exploitation des terminaux pr'servent la concurrence au moment du choix de l'op'rateur et comportent un contr'le de l'efficacit' de la formule, de fa'on ' ne pas cr'er de position abusive, notamment par des prix de vente hors march' ou une insuffisante r'percussion des gains de productivit'.
