3' La r'forme domaniale

L’exercice sur le domaine public de missions de service public industriel et commercial, comme c’est le cas de l’activit' portuaire, a rendu n'cessaire la combinaison des r'gles de protection du domaine (cf. encadr') avec une occupation privative, que cette derni're soit directement utile ou non ' l’ex'cution de ces missions. Pour les ports, l’enjeu est en effet que le droit domanial assure une s'curit' juridique suffisante aux entreprises d'sirant s’implanter dans les zones portuaires.

La r'forme domaniale entreprise en 1994, qui va dans ce sens, est cependant limit'e ' plusieurs titres et le cadre juridique pos' par la loi du 25 juillet 1994 m'riterait quelques adaptations. En outre, cette r'forme n’a pas 't' accompagn'e d’une clarification du r'gime de la fiscalit' fonci're applicable aux ports, indispensable pour garantir davantage de s'curit' juridique aux investisseurs. Ces contraintes ob'rent la gestion fonci're des ports et peuvent par l'-m'me limiter leur activit'.

D'finition et r'gime juridiques du domaine

L’article 538 du code civil dispose que " les rivages, lais et relais de la mer, les ports, les havres, les rades, (...), sont consid'r's comme des d'pendances du domaine public". N'anmoins, il n'existe pas, en droit fran'ais, de d'finition juridique des ports, non plus que du domaine portuaire. Dans les faits, le domaine des ports est soumis ' deux r'gimes juridiques distincts qui peuvent cohabiter :

- le r'gime du domaine public s'applique en principe ' la totalit' des terrains des ports d'int'r't national et ' une partie de ceux des ports autonomes, pour les biens publics qui leur ont 't' confi's par l'Etat, notamment lors de la cr'ation d’'tablissements autonomes de gestion, et pour certains de leurs biens propres ;

- le r'gime du domaine priv' concerne les seuls ports autonomes pour les possessions priv'es qui leur ont 't' confi'es par l'Etat et pour celles qu'ils d'tiennent en propre.

Le droit domanial est fond' sur deux principes, issus de l’Edit de Moulins de f'vrier 1566, l’inali'nabilit' et l’imprescriptibilit' : l’Etat, d'positaire du patrimoine national, doit en pr'server l’int'grit' tant que celle-ci est n'cessaire ' l’exercice des missions de service public. Cela emporte des effets tant pour l’Etat, qui ne peut, par exemple, pas prendre des engagements hypoth'caires sur le domaine public, que pour les tiers, contre les empi'tements desquels il faut pr'server le domaine. Il en d'coule que le domaine public ne peut pas faire l’objet d’une vente, d’une appropriation ' caract're permanent, ou d’une suj'tion patrimoniale ou commerciale. Ces restrictions ne valent pas, en revanche, si le domaine public est d'class' pour 'tre int'gr' au patrimoine priv' de l’Etat, ce qui, conform'ment ' la jurisprudence administrative, n'cessite quelques conditions, notamment l’absence de participation au service public.

a) Les lacunes des textes de 1994-1996

Le code du domaine de l’Etat a 't' r'form' par la loi du 25 juillet 1994 et les textes d’application pris en 1995 et 1996. Son objet est plus vaste que le domaine strictement portuaire, qui se trouvait cependant au cœur des d'bats, puisque c’est ' l’initiative des acteurs portuaires qu’une telle r'forme avait 't' entreprise. Cette r'forme a introduit plusieurs innovations : la possibilit' de porter ' 70 ans la dur'e des titres d’occupation du domaine ; la reconnaissance, sur leur demande, de droits r'els aux occupants du domaine public ' titre privatif ; une meilleure indemnisation des occupants en cas de retrait non fautif du titre d’occupation domaniale.

Point essentiel de la r'forme, la dur'e des occupations domaniales est aussi l’un des plus controvers's. L’article L. 34-1 du code du Domaine fixe d'sormais ' soixante dix ans la dur'e maximale d’un titre d’occupation, y compris ses renouvellements. Cette dur'e peut 'tre jug'e de diff'rentes mani'res. D’un strict point de vue 'conomique, elle est largement sup'rieure ' toutes les dur'es d’amortissement des biens industriels : ces derni'res atteignent vingt ' cinquante ans pour les b'timents commerciaux et vingt ans pour les b'timents industriels. La rentabilit' d’un investissement, m'me important, n’est donc pas compromise par cette limite maximale. D’un point de vue juridique, cette dur'e est conforme ' la jurisprudence du Conseil d’Etat (27) qui consid're qu’un titre d’occupation de 99 ans accord' par un bail emphyt'otique op're en pratique un transfert de propri't' d'guis'.

En revanche, l’exp'rience des implantations industrielles en Europe semble montrer qu’au-del' de l’investissement technique proprement dit, les groupes industriels privil'gient la continuit' de leurs activit's sur un m'me site, et ce sur des dur'es tr's longues, de fa'on ' b'n'ficier d’avantages moins directement mat'riels : main-d’œuvre, desserte adapt'e, r'gime de fiscalit' locale. Dans ces conditions, la limite de soixante dix ans est parfois pr'sent'e comme une entrave ' l’investissement. Ainsi, les ports du nord de l’Europe, tr's r'ticents ' la cession d’espaces fonciers, ont en revanche un r'gime plus extensif d’occupation temporaire, allant jusqu’' 99 ans. Cette diff'rence peut 'tre utilis'e par ces ports comme un argument concurrentiel, en particulier vis-'-vis des investisseurs industriels pour lesquels la technologie, voire la structure de la production, peuvent se renouveler au moins trois fois par si'cle.

Jusqu’' la loi de 1994, la jurisprudence du Conseil d’Etat ne reconnaissait ' l’occupant du domaine public qu’un droit limit' de propri't' des ouvrages construits sur le domaine public : ce droit 'tait restreint tant dans le temps, par la dur'e du titre, que dans ses effets, par l’absence de droits r'els. Le nouvel article L 34-1 du code du Domaine conf're ' l’occupant du domaine et pour la dur'e de son titre d’occupation " les pr'rogatives et obligations du propri'taire ".

La r'forme de 1994 pr'cise les obligations de l’occupant : il s’agit notamment de l’entretien, des grosses r'parations et de l’assurance des biens, qui ne sont plus de la comp'tence de l’Etat, m'me si, depuis longtemps, ce dernier avait contractuellement transf'r' cette charge au b'n'fice des occupants du domaine public. Par ailleurs, la charge des imp'ts fonciers, si elle est support'e par l’Etat, peut, sur ce fondement, 'tre transf'r'e aux occupants.

Pour autant, le droit de disposer du bien n’est pas accord' au " quasi-propri'taire " : il ne peut pas ' son tour accorder ' un tiers une occupation constitutive de droits r'els sur le bien faisant l’objet de l’autorisation. Cette limite peut 'tre un frein au d'veloppement, ' caract're structurel dans l’organisation des entreprises, des SCI qui permettent de s'parer la gestion du patrimoine de l’exploitation du fonds de commerce. La difficult' est de m'me nature en ce qui concerne les ventes en l’'tat futur d’ach'vement, pour lesquelles le transfert d’occupant se fait en continu, au fur et ' mesure de la construction. Une telle 'ventualit' n’a pas 't' prise en compte.

Les droits r'els sont limit's au domaine public artificiel de l’Etat ou de ses 'tablissements publics et au domaine public de l’Etat dans les ports d'partementaux, ce qui exclut le domaine des collectivit's territoriales ainsi que le domaine public naturel. En outre, ils ne peuvent faire l’objet d’une utilisation, telle qu’une prise de garanties, ou d’un transfert, pour un cr'dit-bail, qu’' condition que ceux-ci contribuent au financement exclusif des installations construites sur la parcelle faisant l’objet du titre d’occupation. Enfin, lorsque les ouvrages, constructions ou installations sont n'cessaires ' la continuit' du service public, l’octroi de droit r'el ne peut se faire que sur d'cision de l’Etat.

Les modifications apport'es par la loi du 25 juillet 1994 n’ont donc pas pris en compte certains besoins des utilisateurs du domaine.

b) Le r'gime fiscal applicable au domaine

Une clarification du r'gime fiscal applicable aux ports en mati're fonci're est indispensable

Concernant les 'tablissements portuaires, le code g'n'ral des imp'ts (CGI) pose une r'gle simple, celle de l’imposition des EPIC selon les r'gles de droit commun applicables aux entreprises priv'es similaires (articles 165 et 167 de l’annexe IV). Ce r'gime d'coule de la loi de finances du 28 juin 1941, compl't'e par un arr't' du 31 janvier 1942, qui soumet les ports autonomes et les CCI concessionnaires d’outillage public au droit commun, correspondant ' une transcription l'gislative de l’arr't " Compagnie industrielle maritime " (Conseil d’Etat, 10 janvier 1938) qui posait le principe de l’assimilation ' l’entreprise priv'e des activit's productrices de revenus.

Le r'gime applicable est pourtant compliqu' par la superposition d’un certain nombre de r'gles d'rogatoires.

Ainsi, l’article 1382-11') du CGI exon're les outillages de la taxe fonci're. En outre, une d'cision minist'rielle du 11 ao't 1942 a suspendu l’application de l’arr't' du 31 janvier 1942 jusqu’' la fin des hostilit's. Il y a alors eu retour au r'gime ant'rieur, exemptant les biens affect's ' un service public et non productifs de revenus, c’est ' dire, selon les termes de la d'cision DC 76-92 du 6 octobre 1976 du Conseil constitutionnel, les biens pour lesquels l’'tablissement public per'oit des redevances int'gralement affect'es au financement de ses d'penses.

L’application de cette d'cision minist'rielle a 't' successivement prorog'e. La loi d’autonomie de 1965 n’ayant pas pr'vu de dispositif fiscal particulier, la d'cision minist'rielle reste donc appliqu'e, en totale ill'galit' puisqu’une simple d'cision minist'rielle ne saurait r'gir une mati're qui rel've des seules lois de finances. Elle a en outre la particularit', en perp'tuant une situation provisoire, de ne pas cr'er un v'ritable cas d’exon'ration, ce qui donnerait alors lieu ' une compensation pour les collectivit's territoriales b'n'ficiaires du produit de l’imp't. Il s’agit d’une exon'ration de fait, non pr'vue par les textes, et donc d’application ' la fois difficile et tr's variable selon les lieux, comme le montrent les exemples cit's ult'rieurement.

A cette situation juridique d'j' compliqu'e s’ajoute un traitement diff'rent selon le type des parcelles domaniales. Le domaine public remis en dotation est impos' s’il est productif de revenus, mais exon'r' s’il est affect' directement ' l’exploitation portuaire. Le domaine priv' du port, ou mis ' disposition par l’Etat, qui n’est pas affect' ' un service public, est passible de la taxe fonci're. Les parcelles de domaine conc'd'es ' un tiers sont soumises ' la taxe fonci're : s’il s’agit de biens de reprise (28), elle est pay'e par le concessionnaire, et s’il s’agit d’un bien de retour (29), par le conc'dant.

Les difficult's d’interpr'tation tiennent au caract're de service public des activit's portuaires sur la base duquel certaines zones o' elles sont install'es peuvent 'tre exon'r'es.

Il serait indispensable d’avoir d’une doctrine claire et surtout uniforme sur l’ensemble du territoire national pour qualifier les activit's de service public portuaire.

Ainsi, dans certains ports (Rouen, Nantes-Saint-Nazaire), les hangars et autres b'timents rattach's ' l’outillage public et lou's aux manutentionnaires ne sont pas impos's. Au Havre, les terre-pleins am'nag's n’ont 't' que tr's progressivement impos's ' la taxe fonci're sur les propri't's b'ties. A l’inverse, l’affectation des biens ' l’exploitation portuaire et au trafic maritime justifie, ' Bordeaux, l’absence d’imposition de l’ensemble des biens, productifs ou non de revenus (outillages comme terre-pleins). Enfin, un port comme Dunkerque n’a jamais 't' impos' jusqu’en 1993, date ' laquelle il a re'u un premier r'le de 6,7 MF. C’'tait aussi le cas du port de Marseille, dans le cadre d’un accord sign' en 1982 entre l’'tablissement et les services fiscaux. Ceux-ci avaient ' l’'poque d'cid' l’exon'ration des terrains compris dans la circonscription du port autonome. Cette derni're a 't' remise en cause en 1996, par l’imposition, au titre des exercices 1994 ' 1996, d’une partie des zones domaniales faisant l’objet d’occupation privative, productrices de revenus pour le port.

Il importe que l’assujettissement des ports ' la taxe fonci're, actuellement en cours d’examen par le service de la l'gislation fiscale, fasse rapidement l’objet d’une clarification, de fa'on ' r'gulariser une fois pour toutes les impositions.

La fiscalit' du domaine portuaire en Europe (30)

A Rotterdam, la fiscalit' locale est support'e par les occupants, quels que soient leurs statuts. Elle recouvre des taxes d’usage (ordures m'nag'res, traitement des eaux us'es), ainsi qu’une taxe fonci're fond'e sur la valeur marchande des terrains. Le taux d'pend de chaque municipalit' d’implantation. Ce n’est pas le cas ' Anvers o', comme dans les ports fran'ais, le propri'taire du sol, en l’occurrence la commune d’Anvers, est tax'. Le montant de l’imposition est ensuite refactur' syst'matiquement ' l’occupant gr'ce ' une disposition du cahier des charges-type des concessions. En revanche, les b'timents construits par l’occupant sur les parcelles qui lui ont 't' conc'd'es sont impos's directement, puisqu’ils ont 't' enregistr's ' son nom au cadastre belge.

La plupart des ports europ'ens supportent une fiscalit' locale faible, car les collectivit's se financent largement par des centimes additionnels aux imp'ts d’Etat. Pour autant, ceux-ci ne constituent pas non plus une charge tr's lourde pour les entreprises portuaires, pour lesquelles des r'gles particuli'res s’appliquent. Plusieurs dispositifs comportent une incitation sur une base fonci're. Il s’agit de la fiscalit' des centres de coordination : en Belgique, les activit's de si'ge des entreprises b'n'ficient d’avantages fiscaux importants. Il s’agit aussi de la fiscalit' des centres de distribution : en Belgique, un dispositif permet aux soci't's implant'es dans les zones portuaires et qui distribuent de la marchandise sans qu’il y ait transformation ou apport de valeur ajout'e, de choisir un r'gime d’imp't sur les b'n'fices sur une base forfaitaire de 5% des frais de fonctionnement. A partir du moment o' ce r'gime fiscal a 't' choisi, le centre de distribution peut facturer librement les autres soci't's du groupe auquel il appartient, sans qu’il y ait de contestation des prix de transfert. M'me si l’imp't sur les b'n'fices est r'ajust' in fine sur le b'n'fice r'el, ce r'gime permet aux groupes ayant une importante fonction de distribution de dissocier celle-ci sans craindre que l’administration fiscale belge r'ajuste les prix de transfert choisis. Le m'canisme est ' peu pr's le m'me aux Pays-Bas.

Enfin, dans la tradition fiscale de l’Europe du nord, notamment des Pays-Bas, il est possible aux administrations fiscales de s’engager ' moyen terme sur le traitement fiscal r'serv' ' une entreprise, notamment quand elle d'cide de s’implanter (" ruling "). Cette s'curit' fiscale est un avantage non mon'taire d'cisif pour le port de Rotterdam, par exemple. Il semble que les entreprises soient plus sensibles ' cet aspect qu’aux aides directes ' l’investissement, comme la prime ' l’am'nagement du territoire. Cet engagement s’accompagne de d'cisions influant sur la comp'titivit' des terrains portuaires : le traitement fiscal sp'cifique des sites de production, le montant 'lev' des r'serves non imposables permettent ' certaines entreprises, comme Cabot ou Hoechst ' Rotterdam, de b'n'ficier d’un avantage fiscal d’implantation qui repr'sente trois fois le co't de l’investissement initial.

A titre de comparaison, la zone Distriport ' Fos, visant ' cr'er un centre logistique ' Marseille, b'n'ficie d’exemptions d'gressives de fiscalit' communale pendant trois ans, mais sans aide directe ' l’investissement. De m'me, ' Marseille, la fiscalit' locale appliqu'e dans la zone de Fos, par le syndicat d’agglom'ration nouvelle des rives de l’'tang de Berre et par la commune de Port-Saint Louis du Rh'ne, demeure forte. D’apr's les 'tudes du port autonome, elle cr'e un handicap de co't d’implantation de 40 ' 60 % par rapport aux ports d’Europe du nord. Le syndicat d’agglom'ration nouvelle et la commune de Port-Saint Louis du Rh'ne font remarquer, pour leur part, que le facteur fiscal n’est que l’un des 'l'ments pris en compte dans les d'cisions d’implantation d’une entreprise.

Dans le cadre d’une forte concurrence pour l’implantation d’unit's industrielles dans les zones portuaires, cette diff'rence de fiscalit' conduit les 'tablissements portuaires ' compenser la diff'rence de co't en fixant des redevances domaniales ' un niveau tr's bas. Cela ne peut alors que se r'percuter sur les autres recettes portuaires, notamment les droits de port, qui sont plus 'lev's qu’en Europe du nord. A titre de comparaison, les recettes domaniales du port d’Anvers sont 'quivalentes aux droits de port per'us, ce qui est loin d’'tre le cas parmi ses concurrents fran'ais.

Les incertitudes de la fiscalit' de l’urbanisme

La fiscalit' de l’urbanisme affectant les ports est constitu'e principalement par la taxe locale d’'quipement (TLE), per'ue sur la construction ou l’agrandissement de b'timents soumis ' permis de construire, et par le versement pour d'passement du plafond l'gal de densit' (PLD). Cette fiscalit' indirecte est per'ue au profit des collectivit's territoriales et liquid'e par les services du minist're de l’'quipement. Elle touche l’ensemble des constructions, ' l’exception de celles non soumises ' permis de construire.

Dans le cas des constructions portuaires non r'alis'es directement par l’Etat, deux questions se posent aujourd’hui aux concessionnaires. D’une part, celle de l’autorit' qui doit d'livrer le permis de construire : il s’agit selon les ports, soit du pr'fet, comme pour les b'timents de l’Etat, soit de la commune, si l’on consid're que les r'gles de droit commun des POS s’appliquent sur le domaine public maritime. D’autre part, la soumission des b'timents ' la fiscalit' de l’urbanisme pose probl'me. Le concessionnaire a en effet le sentiment de " payer deux fois " puisque, dans le cadre portuaire, il r'alise lui-m'me les am'nagements publics tels que la voirie ou les r'seaux, qui constituent pr'cis'ment la contrepartie du pr'l'vement communal.

Une question de fond se pose aussi ' l’Etat sur la nature de la mission exerc'e par son concessionnaire, en mati're d’investissements et de travaux. S’il s’agit d’un mandat de ma'trise d’ouvrage au sens de la loi du 12 juillet 1985, le ma'tre d’ouvrage principal reste l’Etat et l’ouvrage est ' ce titre exon'r' de la fiscalit' de l’urbanisme.

En conclusion, ces questions de fiscalit' fonci're apparaissent centrales pour l’ensemble des ports : l’'galit' des contribuables devant les charges communes n’est pas respect'e en mati're portuaire puisque chaque port conna't un r'gime fiscal particulier en raison, soit du statut de la collectivit' gestionnaire, soit des d'cisions locales des services fiscaux, d’une part ; la juxtaposition de r'gles provisoires et de niveau juridique diff'rent ne garantit pas une s'curit' juridique suffisante, condition pourtant n'cessaire aux investisseurs sur le domaine portuaire, d’autre part.

Recommandations

- adapter la loi domaniale de 1994 (accroissement ' 80 ou 90 ans de la dur'e des titres d’occupation, adaptation au cas des soci't's civiles immobili'res et des ventes en 'tat futur d’ach'vement, extension au domaine des collectivit's territoriales et au domaine public naturel) ;
- d'finir une doctrine claire en mati're de fiscalit' fonci're applicable aux ports.
