Azioni per la valorizzazione del territorio demaniale


Verifica sui piani di impresa e monitoraggio delle attività

L'analisi dei traffici presentata nella prima parte pone le basi per introdurre la trattazione di come ci si propone di sviluppare le più idonee attività di approfondimento e di monitoraggio, che risultano necessarie allo scopo di ottimizzare l'utilizzo di risorse territoriali date e notoriamente scarse, specie nell'ambito portuale genovese.

L'attività di monitoraggio sarà volta principalmente alla razionalizzazione delle aree portuali e dovrà essere principalmente fondata su due azioni strettamente correlate tra loro.

La prima, costituita dal controllo del piano di attività contenuto nell'atto di concessione e dei suoi successivi aggiornamenti, dovrà appurare la rispondenza tra l'effettivo utilizzo delle risorse portuali con quanto prospettato in sede di assegnazione delle aree per lo svolgimento di operazioni portuali.

La seconda azione sarà volta a verificare che, sulla base delle previsioni di traffico contenute nel piano di attività e nei suoi successivi aggiornamenti, sussista in futuro un bilanciamento fra la domanda e l'offerta di movimentazione di determinate categorie merceologiche, anche sulla base di analisi generali della domanda per il settore in esame.

Entrambe le azioni di monitoraggio trovano ora un ulteriore fondamento nei parametri di redditività dei traffici portuali nei diversi settori merceologici, in relazione all'importanza crescente assunta dall'andamento dei flussi di merce in entrata e in uscita dal porto a seguito dell'introduzione dei nuovi principi di autonomia finanziaria nell'ordinamento portuale, e delle regole che conseguentemente debbono ispirare la politica degli investimenti e della gestione del territorio.

Più in dettaglio, va sottolineato che le Autorità Portuali, nell'esercizio dei propri compiti di indirizzo, coordinamento e controllo delle operazioni portuali e delle altre attività commerciali e industriali, sono tenute per legge a verificare con cadenza annuale:

  • il rispetto delle condizioni previste nel programma operativo presentato dalle imprese autorizzate all'esercizio delle operazioni portuali;
  • il permanere dei requisiti in possesso al momento del rilascio della concessione e l'attuazione degli investimenti previsti nel programma di attività.
Il monitoraggio delle attività degli operatori, con particolare riferimento all'andamento dei traffici, risulta inoltre sempre più necessario al fine di individuare eventuali criticità, comprenderne le cause e dare avvio ad eventuali azioni condivise per poterle superare in tempi compatibili con le esigenze di operatività.

Con riferimento alla verifica del rispetto delle previsioni contenute nei piani di impresa degli operatori, soprattutto in termini di traffici e investimenti realizzati, nel corso degli anni tale attività ha dato luogo alla redazione di opportune relazioni esaminate annualmente dal Collegio dei Revisori dei Conti.

A partire dal 2004, inoltre, è stata avviata dall'Amministrazione un'azione di riordino complessivo delle modalità di attuazione ditale attività di verifica, tramite la predisposizione di un nuovo modello di rilevazione approvato dal Comitato Portuale in data 27/10/2004 ed adottato a partire dall'esercizio 2005.

Come già sottolineato in sede di ultimo aggiornamento del lavoro sui piani di impresa (oggetto di una Comunicazione del Presidente nella seduta di Comitato Portuale del 27 settembre 2007), le analisi effettuate negli ultimi anni, attraverso questi nuovi strumenti di rilevazione e confronto tra i dati preventivi e consuntivi, si sono rivelate sostanzialmente appropriate ai fini di valutare gli andamenti complessivi dei concessionari oggetto di analisi ed in relazione agli obiettivi posti dalla L. 84/94 e citati in premessa.

Ad oggi è tuttavia opportuno sottolineare come da un lato sia necessario migliorare ed affinare tali strumenti di verifica per renderli maggiormente compatibili con le attività da monitorare e colmare alcune carenze registrate nella fase di avvio del nuovo modello, e dall'altro si renda indispensabile estendere l'attività di analisi alle aree portuali nel loro complesso, finalizzandola in particolare alla loro razionalizzazione e maggiore valorizzazione.

Sotto il primo profilo si è già sottolineato come sia intendimento dell'Autorità Portuale di Genova procedere ad affinare il modello di rilevazione adottato concentrando la futura attività di analisi e monitoraggio sui punti seguenti:

  1. l'esigenza, più volte manifestata, di acquisire una contabilità separata delle attività delle imprese concessionarie, in relazione alla quale dagli ultimi incontri realizzati con i terminal operators è emersa la loro disponibilità a risolvere tale problema, seppure con tempi e modalità diverse dettate dalle caratteristiche dei singoli settori;

  2. l'estensione su orizzonti temporali di medio-lungo termine (5 anni) dell'attività di analisi dei programmi di attività per quanto concerne le variabili economico-patrimoniali-finanziarie, per poter apprezzare l'andamento gestionale complessivo dell'impresa e analizzare con maggior prudenza il mercato nel contesto congiunturale macroeconomico;

  3. l'importanza di affiancare all'analisi dei dati quantitativi elementi di “contesto” relativi ai singoli mercati in cui operano le imprese concessionarie che presentano caratteristiche concorrenziali e organizzative tra di loro profondamente diverse;

  4. la necessità di interagire con gli operatori e di approntare strumenti più “snelli” di rilevazione

  5. un più efficace utilizzo delle tavole previsionali inserite nel nuovo modello di rilevazione (conto economico, stato patrimoniale e prospetto fonti e impieghi), non solo nel momento in cui debbano essere valutate domande di nuove concessioni, ma anche in concomitanza di rilevanti interventi infrastrutturali realizzati da Autorità Portuale e/o in corrispondenza di significativi investimenti da parte del concessionario già operante nell'area portuale.
Risulta altresì necessario effettuare ulteriori approfondimenti relativi ai singoli segmenti di attività, al fine di stabilire in modo oggettivo e non discrezionale quali indicatori debbono essere oggetto di verifica ai fini della revoca e quali sono i relativi livelli cui può corrispondere un situazione rientrante nel “giustificato motivo”.

Il secondo profilo si estende ad un'analisi dettagliata sull'utilizzo delle aree portuali in concessione anche ad operatori diversi dalle imprese portuali, e ciò al fine di poter selezionarne le priorità di utilizzo sulla base di criteri di maggiore efficienza produttiva e territoriale.


La gestione del territorio: criticità riscontrate, azioni avviate e da intraprendere

Le caratteristiche di un'area portuale come quella del Porto di Genova, estesa per circa 7.000.000 di mq. di superfici e 8.000.000 di mq. di specchi acquei, presentano una oggettiva complessità anche sotto il profilo della gestione amministrativa.

A titolo di completezza è opportuno ricordare che ad oggi nel porto di Genova si contano 115 concessioni pluriennali regolate tramite Atti e 696 regolate a mezzo licenza (censite al mese di marzo 2008), con durata da 3 mesi a 4 anni. Le attività riconducibili alle suddette concessioni sono sintetizzate nella tabella seguente riferita all'esercizio 2006.

A ciascun titolo concessorio sono inoltre legati diversi procedimenti di tipo autorizzatorio (dalla posa di un contenitore, alla richiesta di rottura del suolo, all'autorizzazione a cedere a terzi porzioni di aree in regime di 45 bis Cod. Nav., etc..) nonché tutte le pratiche di tipo “finanziario” (canoni, garanzie, cauzioni, indennizzi, etc...).

La molteplicità delle attività e funzioni esercitate sul territorio portuale, nonché l'ampiezza dello stesso, comportano quindi una notevole complessità di gestione e richiedono conseguentemente un'adeguata organizzazione per lo svolgimento delle attività di ordinaria amministrazione.

L'impegno organizzativo profuso in particolare nell'ultimo periodo per corrispondere al necessario rispetto delle modalità e dei tempi di rilascio dei titoli demaniali e autorizzativi ha generato un ingente carico di lavoro, soprattutto in presenza di un quadro normativo caratterizzato da pesanti rigidità e quindi sovente in contrasto con i criteri di efficienza che dovrebbero guidare l'attività dell'Amministrazione.

L'obiettivo prioritario che si intende perseguire è dunque riferito al necessario coordinamento ed aggiornamento di tutti gli aspetti inerenti la gestione del demanio marittimo, le procedure correlate alla stessa e i canoni concessori, da organizzare in un unico documento a finalità regolamentare.

In particolare, i principali contenuti di tale regolamento d'uso del territorio portuale saranno i seguenti:
  • canoni demaniali, con una specifica differenziazione in base al tipo di attività del concessionario e definiti sulla base delle indicazioni contenute nella normativa vigente in materia (laddove sia presente);
  • procedure di pagamento dei canoni demaniali, nonché delle connesse garanzie e polizze assicurative;
  • procedure per il rilascio delle concessioni demaniali;
  • durata e cessazione della concessioni demaniali;
  • occupazioni temporanee di aree demaniali marittime;
  • utilizzazione delle aree in concessione in maniera difforme dal titolo concessorio o abusiva occupazione.
In relazione ai canoni demaniali, in un'ottica di valorizzazione delle aree portuali e razionalizzazione dell'uso delle stesse, si ritiene opportuno valutare eventuali esigenze di aggiornamento dell'Accordo (vigente dal 1996) sui canoni delle imprese terminaliste operanti nel porto di Genova. In tal senso si potrebbe verificare se alcuni elementi posti alla base di tale accordo (ad esempio il valore unitario preso come riferimento per le aree, i coefficienti utilizzati per differenziarne caratteristiche e utilizzo, etc...) possano necessitare una rivisitazione o meno, e prevedere eventualmente una semplificazione di alcuni passaggi dell'accordo che possono risultare complessi o, in alcuni casi, di difficile interpretazione.

La revisione dell'Accordo sui canoni delle imprese terminaliste meriterebbe altresì, e in primo luogo, opportuni approfondimenti anche sulla base di un confronto con le altre realtà portuali italiane ed europee, alfine di individuare un criterio che possa rappresentare al meglio le esigenze amministrative ed operative dell'ente e del porto e traguardare obiettivi di massima efficienza gestionale.


Lo stato del contenzioso relativo ad aree terminalistiche

1) Grendi Trasporti Marittimi S.p.A.

A) A seguito del ricorso proposto da Grendi contro gli atti relativi all'assegnazione in concessione delle aree del c.d. Multipurpose, il TAR Liguria ha recentemente annullato gli atti impugnati.

A seguito di ricorso in appello proposto da Autorità Portuale e dalle altre parti in causa, il Consiglio di Stato, con ordinanza del maggio scorso, ha sospeso l'esecutività della sentenza di primo grado, stante l'evidente periculum in niora per l'operatività portuale derivante dall'annullamento dei titoli concessori rilasciati.

Allo stato risulta fissata udienza per la discussione del merito per il giorno 6.5.2008.

B) Arbitrato con Fingenoa S.r.l. (società facente capo al gruppo Grendi)

Il contenzioso ha ad oggetto crediti di Autorità Portuale per canoni, personale ed altro piuttosto risalenti nel tempo (inizio anni ‘90) e controcrediti di Genoa Terminal (ora Fingenoa) per indennizzi asseritamene dovuti da Autorità Portuale (anche in forma di sconti su canoni) e per altre causali afferenti ai rapporti concessori intercorsi fra le parti.

Il lodo arbitrale è stato depositato alla fine dell'anno 2005.

Gli arbitri hanno riconosciuto pressoché integralmente il credito di Autorità Portuale e solo parte delle rivendicazioni di Fingenoa.

Sempre nel lodo è prevista la compensazione dei reciproci crediti, con un saldo positivo per l'ente, in parte pagato da Fingenoa.

Autorità Portuale ha recentemente proposto appello avverso il lodo nella parte in cui riconosce crediti di Fingenoa ed a sua volta quest'ultima, nel costituirsi, ha proposto appello per la parte di domande da essa formulate e non accolte.

All'udienza dei 24 ottobre 2007 la causa è stata rinviata al 25.2.2009 per la precisazione delle conclusioni. Conseguentemente in quella data, salvo fatti nuovi, la causa d'appello sarà trattenuta in decisione.

C) Grendi Trasporti Marittimi S.p.A., con atto notificato in data 3.8.2007, ha proposto ricorso ai TAR Liguria avverso la deliberazione del Comitato Portuale dei 19. 1 2.2005 avente ad oggetto “Terminal Rinfuse Italia: accordo per la sistemazione delle aree di cantiere di Calata Bettoio”.

In data 14.12.2007 sono stati notificati motivi aggiunti con istanza di sospensiva allo stato rinviata al 3.4.2008.

D) Con ricorso ai TAR Liguria notificato in data 2 1.3.2008, la Società Grendi ha chiesto l'annullamento, previa sospensiva, della deliberazione del Comitato Portuale dell'Autorità Portuale di Genova 24.1.2008, n. 5 (non integralmente conosciuta) avente ad oggetto “Calata Bettolo: richiesta di Autorità Marittima di ricerca di soluzioni per la provvisoria sistemazione degli accosti della Grendi Trasporti Marittimi S.p.A. In sicurezza”, nella parte in cui viene respinta la proposta della Capitaneria di Porto di Genova di temporanea aliocazione degli accosti Grendi presso il terminal Tirrenia, ponte Libia ponente, e correlata assegnazione di aree retrostanti.

L'udienza di sospensiva potrebbe essere fissata per i primi giorni del mese di aprile p.v., ma allo stato non è ancora nota, dipendendo anche dalla data in cui controparte depositerà il ricorso.


2) Contship Italia S.p.A.-La Spezia Container Terminal S.p.A.

A) Nello scorso mese di giugno, Contship e la sua controllata hanno proposto ricorso al TAR Liguria alfine di ottenere l'annullamento, previa sospensione, degli atti emessi dall'Autorità Portuale, con cui è stato consentito a VTE S.p.A. di operare temporaneamente sui VI Modulo del terminal di Voltri nelle more della gara in considerazione della ridotta operatività derivante dai lavori da eseguire sul Quarto Modulo.

Con il medesimo ricorso era stata altresì impugnata l'ordinanza del Sindaco di Genova che aveva provvisoriamente ordinato di consentire a VTE S.p.A. l'uso dei VI Modulo per rimuovere una situazione di emergenza cittadina derivante da un blocco della viabilità attribuibile al traffico portuale.

Il TAR Liguria, con ordinanza in data 28.6.2007, ha respinto la richiesta di sospensiva, condividendo le ragioni esposte dalle amministrazioni coinvoite.

B) In data 27.12.2007 Contship ha proposto ricorso ai TAR Liguria avverso gli atti relativi alla gara per l'assegnazione del VI modulo presentando anche successivamente motivi aggiunti di ricorso. All'udienza fissata per la discussione della sospensiva la ricorrente ha rinunciato alla misura cauteiare e la discussione del merito è stata fissata per il giorno 22.5.2008.


3) Ignazio Messina e C. S.p.A.

A) Nell'anno 2006, la società ha proposto ricorso al TAR Liguria avverso le delibere assunte dal Comitato Portuale relativamente alla riprogrammazione delle opere per il triennio 2006-2008 ed alle note di variazione al bilancio 2006.

In estrema sintesi, la società ricorrente ha contestato la redistribuzione delle risorse effettuata con tali delibere e la nuova programmazione temporale delle stesse, che farebbero ritardare i lavori di suo interesse.

Non risulta fissata alcuna udienza per la discussione della causa.

B) Ricorsi al TAR Liguria, proposti nell'anno 2001 e 2003, aventi ad oggetto la regolamentazione in porto delle guardie ai fuochi.

I due ricorsi sono stati rinunciati per la parte relativa all'Autorità Portuale, ma non nei confronti degli atti della Capitaneria di Porto.

Risulta che fosse all'esame delle parti un'ipotesi di definizione del contenzioso che avrebbe dovuto portare ad un definitivo abbandono dei ricorsi anche nei confronti della Capitaneria di Porto.

All'udienza del 12.7.2007, la causa è stata cancellata dal ruolo in attesa di verificare gli esiti dei contatti intercorsi.

C) Nell'agosto 2007 la Società Messina ha avviato un contenzioso arbitrale contro Autorità Portuale volto ad ottenere il risarcimento dei danni asseritamente subiti in conseguenza del ritardo nel trasferimento di n. 4 gru nelle aree in concessione alla società terminalistica e da quest'ultima acquistate nel 2004.

E' fissata la data del 5.5.2008 per la comparizione personale delle parti per l'espletamento del rituale tentativo di conciliazione.

D) Con atto notificato in data 4.3.2008 la Società Messina ha introdotto dinanzi al TAR Liguria un giudizio di giurisdizione esclusiva con cui ha richiesto la condanna dell'ente al risarcimento dei danni per un ammontare superiore ad € 10.000.000 per assente inadempienze agli obblighi gravanti sull'ente in forza degli atti di concessione stipulati fra le parti.

Allo stato non risulta fissata alcuna udienza di discussione del ricorso.


4) Industrie Rebora S.r.l.

Nell'anno 2006, Industrie Rebora S.r.l. ha proposto ricorso al TAR Liguria per l'annullamento dell'atto di concessione rilasciato a Terminal S. Giorgio nell'ambito delle aree Multipurpose e delle connesse delibere del Comitato Portuale.

In estrema sintesi, la ricorrente lamenta che, nello stipulare l'atto, l'amministrazione non avrebbe salvaguardato i traffici di Industrie Rebora come, invece, secondo la prospettazione di quest'ultima, avrebbe dovuto fare sulla base degli atti.

Industrie Rebora, con nota in data 10.11.2006, ha comunicato di ritenere ormai superate le proprie ragioni di doglianza e la disponibilità a rinunciare al ricorso a fronte di analoga disponibilità da parte di Terminal S. Giorgio a rinunciare al ricorso proposto in data 9.11.2006 avverso l'atto di concessione di Centro Servizi Derna e di Industrie Rebora (v. infra).

In ogni caso, allo stato non risulta fissata alcuna udienza.


5) Terminal S. Giorgio S.r.1.

Nel mese di novembre del 2006, Terminal S. Giorgio S.r.l. ha impugnato gli atti di concessione di Industrie Rebora e di Centro Servizi Derna principalmente per ritenuta violazione dell'art. 18, comma 7, 1. n. 84/94.

Analogamente a quanto riferito al paragrafo n. 5 che precede. è stato informalmente preannunciato un abbandono del ricorso qualora Industrie Rebora formalizzi la propria rinuncia al contenzioso di cui sopra.


6) Arbitrato VTE

Con atto notificato in data 22.10.2007, Voltri Terminal Europa S.p.A. ha avviato procedura arbitrale nei confronti di Autorità Portuale di Genova volta, in sintesi, a definire la legittimità delle richieste di Autorità Portuale a titolo di conguaglio canoni rispetto agli importi già pagati, nonché la rideterminazione degli stessi alla luce di vari fatti ritenuti rilevanti ed ancora il rimborso di costi sostenuti dall'ente per lavori eseguiti sul terminal.


7) Prà Distripark Europa

Con atto notificato in data 12.11.2007, PDE ha promosso ricorso al TAR Liguria per l'annullamento della determinazione del canone per la concessione demaniale marittima. Allo stato non è fissata la data di udienza.

8) Altri ricorsi di rilievo, anche se non relativi ad aree terminalistiche:

8.A) Derrick S.r.i.- Nuovo Borgo Terminal Containers S.r.i. - SILT

Le società sopra indicate hanno proposto ricorso al TAR Liguria contro la Società per Cornigliano S.p.A. e gli altri enti locali per l'annullamento dell'accordo del 23.6.2006 concernente la concessione in comodato da parte della Società per Cornigliano S.p.A. al Gruppo Spinelli di aree demaniali in zona portuale già occupate dallo stabilimento Ilva di Genova.

All'udienza di discussione del merito del 3 1.10.2007 la causa è stata sospesa in attesa che venga deciso dalla Corte di Cassazione il ricorso per regolamento di giurisdizione proposto dal Gruppo Spinelli.

8. B) Porto Turistico Camillo Luglio S. r. i.

In data 26. 10.2007, la società sopra indicata ha proposto ricorso al TAR Liguria per la dichiarazione del silenzio inadempimento dell'Autorità Portuale all'obbligo di concludere entro i termini legali il procedimento per il rilascio di concessione demaniale marittima in ampliamento relativa all'attuazione del progetto del nuovo porto turistico di Sestri Ponente, nonché perché sia ordinato all'Autorità Portuale di concludere il suddetto procedimento entro il termine perentorio di 30 giorni.

L'udienza per la discussione del ricorso risulta fissata per il giorno 17 aprile 2008.


8.C) ILVA S.p.A.

La società Ilva S.p.A. ha a suo tempo proposto ricorso avverso la decisione dell'Autortià Portuale di istituire la sovrattassa portuale.

Nonostante il lungo tempo trascorso dalla proposizione del ricorso non risulta essere ancora stata fissata udienza per la discussione della causa.
